德祥地產(00199.HK)擬1.46億港元收購Premier Maker 19%股權

格隆匯11月29日丨德祥地產(00199.HK)公佈,於2019年11月29日,Beam Castle(公司一間間接全資附屬公司,作為買方)與世祿(作為賣方)訂立收購協議,並已向世祿收購銷售股份(相當於Premier Maker全部已發行股本19%)及銷售貸款,代價為港幣1.46億元。

於本公佈日期,Premier Maker間接擁有中國公司上海漕河涇開發區華港實業有限公司(該物業的唯一實益擁有人)的50%權益。為償付部分代價港幣9640萬元,科進(公司另一間間接全資附屬公司)須向世祿轉讓本金金額為港幣1.8億元的目標貸款票據。

根據收購協議,世祿向Beam Castle授出認購權,據此,Beam Castle有權要求世祿於認購權期間內按認購權代價出售認購權權益予Beam Castle。

據悉,該物業指位於中國上海徐彙區漕河涇開發區田林路397號的建築物,包括名為上海漕河涇萬麗酒店的酒店及不少於214個車位。

董事認為,收購事項為該集團在上海收購物業股權的投資良機,而該項投資亦將為該集團提供穩定收入來源。此外,認購權為該集團提供機會,日後可以預先協定價格增持該物業的權益至16%,讓該集團得以盡享該物業旗下酒店業務增長所帶來的利益。
