中寵股份(002891.SZ)擬轉讓所持瑞鵬集團全部股權並通過美國好氏認購瑞鵬開曼普通股股份5263萬股
格隆匯11月29日丨中寵股份(002891.SZ)公佈，2019年11月29日，公司召開第二屆董事會第二十五次會議，分別審議通過了《關於擬轉讓參股公司股權的議案》和《關於公司境外子公司擬對外投資的議案》，公司擬將所持有的瑞鵬集團的全部股權轉讓給HHRP Holdings Limited，轉讓價格為人民幣644.13萬元，此次股權轉讓完成後，公司不再是瑞鵬集團的股東；公司擬通過美國好氏將此次股權轉讓所收回的資金在扣除相關税費以及其他費用之後用於投資Ruipeng Pet Group Inc.(瑞鵬開曼)，認購其普通股股份5263萬股。
瑞鵬寵物醫療集團有限公司經營範圍：一般經營項目是：寵物醫療機構投資管理(不含限制項目)，寵物醫療機構投資諮詢，投資興辦實業(具體項目另行申報)，寵物用品銷售，寵物飼料產品的銷售，寵物美容服務，網上貿易、國內貿易(不含專營、專控、專賣商品)；經營進出口業務(法律、行政法規、國務院決定禁止的項目除外，限制的項目須取得許可後方可經營)。許可經營項目是：動物診療。
Ruipeng Pet Group Inc.經營範圍：公司的設立目的並不受限制，且包括但不限於以下內容：1、開展投資公司業務，擔任發起人或創辦人，作為金融方、資本方、特許經營人、批發零售商、經紀人、貿易商、經銷商、代理人、進口商和出口商開展業務，經營各種投資、融資、商業、批發零售、貿易和其他業務。2、就各種房地產包括相關服務作為被代理人、代理人或者其他開展房地產經紀、開發、諮詢、物業代理和管理、建設、承包、工程、製造、經銷或銷售業務。
瑞鵬集團擁有多個寵物醫療連鎖品牌，在全國重點城市開設有寵物轉診中心、寵物中心醫院、各類寵物專科醫院及社區醫院。經營範圍涵蓋寵物醫療機構投資管理及諮詢、寵物用品、飼料產品的銷售、寵物美容服務、進出口業務以及動物診療等，年服務近百萬只寵物。
此次交易目的為配合瑞鵬集團重組，不會影響公司與瑞鵬集團的業務合作。根據會計準則的相關規定，如果此次交易完成，公司轉讓持有的瑞鵬集團股權事宜預計將造成公司投資收益損失2,055.87萬元，但是從公司長遠規劃來看，瑞鵬集團資源整合後能更好的發揮其品牌、渠道以及業務等優勢，有利於推進公司快速完成產業鏈佈局，打造產業生態，進而提高合作雙方在產業領域內的市場地位。
公司此次轉讓參股公司股權並擬對外投資事宜不會影響公司正常經營，亦不會影響公司未來整體發展戰略規劃，公司將及時履行信息披露義務。以上此次交易對公司經營業績的影響數據未經會計師事務所審計，與最終審計數據可能存在差異，具體金額以會計師事務所審計數據為準。
