上海洗霸(603200.SH)從媒體報道中獲悉 所購基金的管理人上海華領資管已被立案調查、其法定代表人孫祺已被刑拘
格隆匯11月29日丨上海洗霸(603200.SH)公佈，公司從有關媒體報道中獲悉，公司購買的“華領定製5號銀行承兑匯票分級私募基金”(以下簡稱本項基金)的管理人上海華領資產管理有限公司(以下簡稱基金管理人)“因涉嫌非法吸收公眾存款罪”/“因涉嫌集資詐騙罪”被立案調查，其法定代表人孫祺先生“已被刑事拘留”。
2019年11月7日，本項基金存續期業已屆滿，正式進入30個工作日的清算期。根據此前相關市場信息，本項基金的基金管理人所管理的部分其他型號私募基金產品存在可能無法足額兑付投資本金及收益的情形；基金管理人相關負責人也曾向公司確認其管理的2019年下半年到期的“華領澤銀穩健18號票據分級私募基金”“華領澤銀穩健19號票據分級私募基金”業已出現清算期滿未能如期、足額兑付包括但不限於優先級份額的投資本金及收益的情形。
公司從有關媒體報道中獲悉，基金管理人“因涉嫌非法吸收公眾存款罪”/“因涉嫌集資詐騙罪”被立案調查，其法定代表人孫祺先生“已被刑事拘留”。
獲悉上述信息後，公司及時通過多種途徑向相關主體跟進了解具體情況。據基金管理人相關工作人員口頭反饋，基金管理人尚未收到立案文書，但其法定代表人孫祺先生配偶向基金管理人口頭確認“孫祺先生已被刑事拘留”。
截至目前，公司未能聯繫到孫祺先生本人確認相關信息，公司暫時也未收到或見到相關法律文書，公司暫時無法確認有關信息是否準確、相關案件是否與本項基金存在關聯。因此，具體應以有關公安機關正式發佈的權威信息為準。
公司認為，綜合目前相關情況，本項基金清算進程可能存在較大不確定性、公司相關投資本金或收益可能無法獲得足額兑付，繼而可能會對公司相關期間的整體業績構成不利影響。假如以公司本項基金投資額度2000萬元為基數，對比公司最近一期經審計(2018年度)歸屬於上市公司股東的淨利潤8007.92萬元計算，本項基金投資額度佔2018年度歸屬於上市公司股東的淨利潤的比例為24.98%。本項基金投資對公司相關期間的整體業績最終構成的具體影響，應以屆時會計師依法審計確認的結果為準。
公司將及時跟進了解本項基金所涉資產清算、歸集和分配等情況，並要求基金管理人、司法機關等相關主體依約、依法盡責履職；公司將視事態進展和實際需要及時組織財務、法律及其他相關專業服務機構通力配合，將繼續向有關主體跟進了解相關具體、全面信息，並視情形適時考慮通過各種合法有效路徑依法維護公司利益。
截至目前，公司各項業務總體穩定，重點項目有序推進，整體業績沒有出現重大異常波動，相關基金產品投資風險未影響公司主營業務正常開展和正常經營資金需求。
除了所購“良卓資產銀通2號票據投資私募基金”因未能正常兑付公司已對相關責任人提起訴訟(詳見公司在上海證券交易所網站披露的《上海洗霸科技股份有限公司涉及訴訟公告》，公告編號為2019-067)，以及本項基金外，公司未投資其他私募基金產品，公司現存的理財投資產品均為銀行結構性存款類金融產品。
該公告系基於公司目前瞭解的初步情況，後續所涉相關重大情形，公司將依法跟進並及時披露。
