天安(00028.HK)擬11.8億元向合營天安數碼城出售多項物業
格隆匯11月28日丨天安(00028.HK)公佈，於2019年11月28日，天錦集團（公司的間接全資附屬公司）與天安數碼城（公司的50%合營企業）訂立南京協議，天錦集團同意出售而天安數碼城同意購買南京目標公司南京天寧置業有限公司100%股權，代價為人民幣6.38億元；晉威集團（公司的間接全資附屬公司）與天安數碼城訂立無錫協議，晉威集團同意出售而天安數碼城同意購買無錫目標公司無錫天安智慧城置業有限公司100%股權，代價為人民幣3.16億元；及銀威環球（公司的間接全資附屬公司）與天安數碼城訂立南通協議，銀威環球同意出售而天安數碼城同意購買南通目標公司南通天安數碼城開發有限公司100%股權，代價為人民幣2.335億元。
據悉，南京目標公司為一間於中國成立的公司，主要從事物業發展。南京目標公司主要資產為南京天安數碼城，其位於南京白下高新技術產業園內，佔地約92,766平方米，總樓面面積約210,100平方米。該項目擬建綜合商務園，內有科技產業大廈、商務及生活配套。第三期樓面面積約25,000平方米已於2019年竣工。
無錫目標公司為一間於中國成立的公司，主要從事物業發展。無錫目標公司主要資產為無錫天安智慧城，位於無錫市新區，佔地約118,330平方米，總樓面面積約236,100平方米。該項目擬建綜合商務園，內有科技產業大廈、商務及生活配套。第一期一批樓面面積約107,200平方米已竣工並正進行租售。
南通目標公司為一間於中國成立的公司，主要從事物業發展。南通目標公司主要資產為南通天安數碼城，位於南通港閘經濟開發區，佔地約160,367平方米，總樓面面積約398,200平方米。該項目擬建綜合商務園，內有科技產業大廈及商務配套。第一期二批工程樓面面積約23,800平方米目前正在發展中。
董事認為該等交易乃為集團業務組合的重組。於該等交易完成後，集團投資組合下的所有數碼城項目將統一由一間實體管理，即天安數碼城，這有助於數碼城項目品牌的建立，而集團業務組合的另一個部份，即雲谷項目將繼續保留於集團的現有架構中。該等交易有利該集團專注於管理其本身的核心業務。憑藉天安數碼城於經營與目標集團類似業務的經驗，董事認為該等交易將提升目標集團的業務經營並增加目標集團產生的溢利。
