*ST蓮花(600186.SH)披露重整計劃(草案)之出資人權益調整方案
格隆匯11月28日丨*ST蓮花(600186.SH)披露重整計劃(草案)之出資人權益調整方案，公司已經不能清償到期債務，且明顯缺乏清償能力，生產經營和財務狀況均已陷入困境。如果蓮花健康破產清算，現有財產將無法滿足各類債務的清償，出資人權益為零。為挽救蓮花健康，避免退市和破產清算的風險，出資人應和債權人共同努力，共同分擔實現蓮花健康重整的成本。因此，蓮花健康重整計劃安排對出資人權益進行調整。
出資人權益調整的範圍：
根據《企業破產法》第八十五條第二款規定，重整計劃草案涉及出資人權益調整事項的，應當設出資人組，對該事項進行表決。蓮花健康出資人組由截至2019年12月11日在中國證券登記結算有限責任公司上海分公司(“中證登上海分公司”)登記在冊的蓮花健康股東組成。上述股東在2019年12月11日後至本出資人權益調整方案實施完畢前，由於交易或非交易原因導致持股情況發生變動的，本出資人權益調整方案的效力及於其股票的受讓方及/或承繼人。
出資人權益調整的內容
以蓮花健康現有總股本為基數，按照每10股轉增約2.99333股的比例實施資本公積金轉增股票，共計可轉增317,899,644股股票(最終實際轉增的股票數量以中證登上海分公司實際登記確認的數量為準)，佔轉增後總股本1,379,923,955股的23.04%。上述轉增股票不向原股東分配，全部由重整投資人(重整投資人由蕪湖市蓮泰投資管理中心(有限合夥)(“蓮泰投資”)及其指定的第三方和項城市國有資產控股管理集團有限公司(“國控集團”)共同組成)有條件受讓。
1、蓮泰投資及其指定的第三方有條件受讓248,903,446股，佔重整後蓮花健康總股本的18.04%。受讓條件具體如下：
(1)蓮泰投資及其指定的第三方將按照1.70元/股的價格受讓轉增股票，向蓮花健康提供423,135,858.20元償債資金。
(2)蓮泰投資承諾，在重整計劃執行期間，協助蓮花健康通過融資貸款的方式籌集2.6億元償債資金。融資利率參照貸款市場報價利率(LPR)執行。
2、國控集團有條件受讓68,996,198股，佔重整後蓮花健康總股本的5.00%。受讓條件具體如下：
(1)國控集團將按照1.70元/股的價格受讓轉增股票，向蓮花健康提供117,293,536.6元償債資金。
(2)國控集團承諾，按照蓮花健康重整計劃關於償債資金來源的規定，對預計償債資金不足部分協調提供貸款支持。貸款利率參照貸款市場報價利率(LPR)執行。
(3)國控集團承諾，在蓮花健康重整成功後，在合法合規的基礎上，充分利用其在本地的投資優勢為公司未來經營發展提供市場資源、合作機會等支持。
按照上述方案轉增完成後，蓮花健康出資人所持有的公司股票絕對數量不會因本次重整而減少。在重整完成後，蓮花健康的基本面將發生根本性改善，並逐步恢復持續經營能力和盈利能力，重回良性發展軌道，全體出資人所持有的蓮花健康股票將成為真正有價值的資產，有利於保護廣大出資人的合法權益。
