山東路橋(000498.SZ)擬4.02億元收購齊魯建設100%股權
格隆匯11月28日丨山東路橋(000498.SZ)公佈，為進一步推進資源配置與整合，拓展房屋建築裝修等施工業務領域，做大做強公司施工業務板塊，實現市場多元化和高質量發展，公司擬收購山東高速齊魯建設集團有限公司(“齊魯建設”、“目標公司”)100%股權。齊魯建設現為公司控股股東山東高速集團有限公司(“高速集團”)全資子公司，此次收購構成關聯交易，確定交易對價為4.02億元。此次交易完成後，公司持有齊魯建設100%股權，齊魯建設將成為公司全資子公司。
轉讓方確認，根據《評估報告》評估值，目標公司2019年度、2020年度、2021年度經審計的合併口徑淨利潤數分別不低於人民幣1916.66萬元、2100.28萬元和2357.7萬元；如此次交易完成時間延後至2020年，則業績承諾期順延，目標公司2020年度、2021年度、2022年度經審計的合併口徑淨利潤數分別不低於人民幣2100.28萬元、2357.7萬元和2645.24萬元。
齊魯建設擁有建築工程施工總承包壹級、建築裝修裝飾工程專業承包壹級、建築機電安裝工程專業承包壹級及電子與智能化工程專業承包貳級等資質。其中，建築機電安裝工程專業承包壹級、電子與智能化工程專業承包貳級等資質彌補了公司相關領域資質空白。
齊魯建設先後承建了上海浦東齊魯大廈、濟南匯寶大廈、杭州灣綠色養護中心等住宅、辦公樓及高速服務區改擴建項目，具有豐富的房屋建築施工經驗以及建築裝修裝飾項目經驗。自2015年11月起，高速集團將齊魯建設託管予本公司。託管期間，齊魯建設完成了公司制改建，與公路行業有關的房建施工業務穩步增長。收購完成後，公司能夠進一步推進資源配置與整合，拓展房屋建築裝修等施工業務領域，做大做強施工業務板塊，實現市場多元化和高質量發展。
根據齊魯建設目前已簽約未完工的項目訂單，公司未來盈利空間較大。
此次交易，能夠為公司業績提供新的利潤增長點，拓展房屋建築、裝飾裝修等經營領域，做大做強公司建築板塊，助力公司持續、穩定、高質量發展。此次交易完成後，公司資產規模以及收入規模均會增加。此次交易所需資金不會對公司後續投資項目和日常運營產生較大影響。
