特爾佳(002213.SZ)子公司擬轉讓特爾佳數據51%股份予拓立彤博
格隆匯11月28日丨特爾佳(002213.SZ)公佈，為進一步有效整合資源、優化資產結構，公司全資子公司深圳市特爾佳信息技術有限公司(“特爾佳信息”)擬將其持有的控股子公司深圳市特爾佳數據服務有限公司(“特爾佳數據”)全部股權(持股比例51.00%)以人民幣270萬元的交易價格出售給深圳市拓立彤博科技有限公司(“拓立彤博”)。此次股權出售完成之後，特爾佳信息將不再持有特爾佳數據的股權，特爾佳信息的合併報表範圍將發生變化。
深圳市特爾佳數據服務有限公司經營範圍：一般經營項目是：雲平台網絡數據處理和存儲；大數據、計算機軟硬件、網絡系統設備的技術開發、技術轉讓、技術諮詢、技術服務；計算機系統技術服務；基礎軟件技術服務；應用軟件技術服務；軟件技術開發；軟件技術諮詢；模型設計；企業形象策劃；從事廣告業務；市場調研；企業管理諮詢；舊機動車鑑定評估；網絡電視技術的研發、技術轉讓；計算機軟硬件、電子產品、智能交通系統產品、數字電視、視頻點播系統產品的研發、銷售；交通設施的上門安裝。許可經營項目是：計算機軟硬件、電子產品、智能交通系統產品、數字電視、視頻點播系統產品的製造；機動車停放服務。
此次交易系公司依據發展戰略及經營規劃，在綜合考慮特爾佳數據目前經營規模及效益後，對公司控股公司結構做了調整；該調整有利於公司資源整合、優化資產結構，提升公司整體盈利水平，符合公司整體發展戰略規劃及經營需要。此次股權轉讓所獲款項將用於增加特爾佳信息運營資金。
此次交易完成後，特爾佳數據將不再是特爾佳信息的控股子公司，不再納入公司合併報表範圍；經初步測算，特爾佳信息可回收流動資金約270萬元，根據《股權轉讓協議書》約定的交易價格扣除投資成本後預計在公司合併層面產生收益約139萬元，對公司2019年度業績將產生積極影響；上述對公司2019年度業績的影響不構成盈利預測，最終以會計師事務所的年度審計結果為準。
