蒙古能源(00276.HK)擬“10合1”並股及擬發行逾34億港元可換股債券
格隆匯11月28日丨蒙古能源(00276.HK)發佈公告,董事會建議向股東提呈股本重組,擬“10合1”合併股份;削減股本,據此藉註銷每股已發行合併股份0.18港元的繳足股本,將已發行合併股份的面值由每股0.20港元削減至每股0.02港元;削減股份溢價,據此將註銷公司股份溢價賬全部進賬額;將削減股本及削減股份溢價所產生的進賬額3386萬港元轉撥至公司的繳入盈餘賬;及按公司法及公司細則所允許,將公司繳入盈餘賬用於抵銷公司累計虧損。預期股本重組將於2020年2月11日生效。
於2019年11月28日,公司與GI認購人訂立GI認購協議,據此,GI認購人同意認購新GI可換股票據。新GI可換股票據的認購款將由公司於GI完成日期用於悉數結清現有GI票據的全部未償還本金額6.24億港元及應計利息,兑換價初步為每股新股份1.2港元,較新股份經調整收市價每股1.08港元溢價約11.1%。
於2019年11月28日,公司與CTF認購人訂立CTF認購協議,據此,CTF認購人同意認購新CTF可換股票據。新CTF可換股票據認購款將由公司於CTF完成日期用於悉數結清現有CTF票據全部未償還本金額27.9億港元及應計利息。
公司稱,經考慮:(i)透過發行新可換股票據應付認購價悉數結算現有GI票據及現有CTF票據全部未償還本金額及應計利息將不會使集團產生即時現金支出負擔;(ii)新可換股票據按年利率3釐計息,與2014年票據按年利率3釐計息一致;(iii)該等認購事項將確保GI認購人及CTF認購人持續為集團業務發展及經營提供財務支持;(iv)公司諮詢多間經紀行後均得到不利回覆,認為股份現行市價及成交量及集團淨負債狀況並不適合透過向獨立第三方或按比例向現有股東發行新股份方式籌集大額資金,且股份之市價須作出大幅折讓;及(v)於兑換新可換股票據後,集團財務狀況將得以改善,執行董事認為發行新可換股票據就公司而言屬適當的債務重組計劃。
此外,新百利融資有限公司已獲委任為獨立財務顧問,以就該等認購事項是否屬公平合理向獨立股東及獨立董事委員會作出建議,並就於股東特別大會上如何對提呈之相關決議案投票向獨立股東提供意見,而此委任已獲獨立董事委員會批准。
