凱文教育(002659.SZ):就出售北京朝陽區寶泉三街46號院1號樓 將按5.3億元與海貸金融簽署交易協議
格隆匯11月28日丨凱文教育(002659.SZ)公佈,公司子公司北京文凱興教育投資有限責任公司(“文凱興”)擬以非公開協議轉讓方式將其所持有的北京市朝陽區寶泉三街46號院1號樓(“標的資產”)出售給北京海貸金融信息服務有限公司(“海貸金融”)或北京市海淀區國有資本經營管理中心下屬的其他全資或控股子公司。最終交易價格仍以北京市海淀區人民政府國有資產監督管理委員會(“海淀區國資委”)批覆為準。
近日,公司收到海淀區國資委出具的《關於對海國投擬收購文凱興教育持有房產資產評估結果予以核准的批覆》(海國資發[2019]133號)及《關於同意北京市海淀區國有資產投資經營有限公司收購北京凱文德信教育科技股份有限公司所屬房產的批覆》(海國資發[2019]132號)。海淀區國資委同意海貸金融以經評估核准的標的資產評估值約5.30億元協議受讓公司子公司文凱興所持有的北京市朝陽區寶泉三街46號院1號樓。
基於前次評估基準日與報告送審日間隔時間相對較長,考慮到前次報告基準日後標的資產所在地周邊同類不動產出租市場變動趨勢情況,在評估複核過程中,為更準確地反映標的資產當前的市場公允價值,公司對於評估基準日進行了調整,由原來的2019年6月30日調整為2019年10月31日。公司聘請經國資備案且具有從事證券、期貨相關評估業務資格的北京中林資產評估有限公司以2019年10月31日為基準日對標的資產進行評估,最終標的資產評估值約5.30億元人民幣。
公司將按照此次經海淀區國資委評估核准的標的資產評估值5.30億元與海貸金融簽署交易協議。
公司後續將按照經國資核准的5.3億元人民幣的交易價格與海貸金融簽署標的資產的轉讓協議,並履行相應信息披露義務。此次交易尚需經政府相關行業主管機關對於資產轉讓的批准,存在一定不確定性。
此次交易預計能為公司帶來税後收益約1.3億元,具體數據取決於相關税費繳納(最終財務數據以2019年度審計報告為準)。
