全新好(000007.SZ)：公司實控人變更為“王玩虹、陳卓婷、李強、陸爾東、林昌珍、陳軍、劉紅”
格隆匯11月28日丨全新好(000007.SZ)公佈，公司分別於2019年10月11日、14日收到公司第二大股東深圳市博恆投資有限公司(“博恆投資”)送達的其與陳卓婷、陸爾東、李強、林昌珍、陳軍、劉紅等六位自然人股東分別簽署的《一致行動協議書》。根據《上市公司收購管理辦法》規定，投資者及其一致行動人在一個上市公司中擁有的權益應當合併計算。簽訂上述《一致行動協議書》後，一致行動人博恆投資、陳卓婷、李強、陸爾東、林昌珍、陳軍、劉紅合計持有公司股份7649.8083萬股(佔公司總股本的22.08%)，超過公司目前控股股東漢富控股有限公司(“漢富控股”)持有的股份7500.0127萬股(佔公司總股本的21.65%)。
公司於2019年11月15日披露了《關於收到
<一致行動協議>
的公告》，公司股東漢富控股與深圳市融美科技有限公司(“融美科技”)簽署了《一致行動協議》，但截至公司2019年第五次臨時股東大會的股權登記日2019年11月21日，融美科技未持有公司股份，亦未告知公司其持股情況。漢富控股持有公司股份7500.0127萬股，佔總股本的21.65%。
2019年11月26日，公司召開了2019年第五次臨時股東大會，審議通過了由博恆投資提交的《關於免去韓學淵深圳市全新好股份有限公司董事會董事職務的議案》、《關於選舉黃國銘為深圳市全新好股份有限公司第十一屆董事會董事的議案》、《關於選舉楊春龍為深圳市全新好股份有限公司第十一屆董事會董事的議案》、《關於選舉陳毅龍為深圳市全新好股份有限公司第十一屆董事會獨立董事的議案》、《關於選舉田進為深圳市全新好股份有限公司第十一屆董事會獨立董事的議案》五項議案，博恆投資完成了對公司董事會的改選。
深圳市德毅投資有限公司(“德毅投資”)持有博恆投資100%股份，王玩虹持有德毅投資51%股份，王玩虹為博恆投資的實際控制人。
結合上述情況，根據《公司法》、《上市公司收購管理辦法》等相關規則，公司控股股東及實際控制人已發生變更，具體如下：
公司控股股東由“漢富控股”變更為“博恆投資、陳卓婷、李強、陸爾東、林昌珍、陳軍、劉紅”；
公司實際控制人由“韓學淵”變更為“王玩虹、陳卓婷、李強、陸爾東、林昌珍、陳軍、劉紅”。
