廈門信達(000701.SZ)：因債權轉讓合同糾紛 公司遭上海銘豪起訴
格隆匯11月27日丨廈門信達(000701.SZ)公佈，公司於2019年11月26日收到浙江省嘉興市中級人民法院應訴通知書，因債權轉讓合同糾紛，上海銘豪投資管理集團有限公司(“上海銘豪”)起訴公司及第三人多倫綠滿家生態養殖有限公司(“多倫綠滿家”)。
案件起因：
自2013年起，公司與多倫綠滿家相繼訂立《肉牛購銷合同》。內蒙古瑞達實業有限責任公司（以下簡稱“瑞達實業”）以其合法擁有的國有土地使用權為多倫綠滿家履行合同提供最高額人民幣3.4億元的抵押擔保，並辦理了《土地他項權利證明書》。
2016年9月26日，公司與上海銘豪、多倫綠滿家協商後，簽訂《債權轉讓協議》，約定公司將對多倫綠滿家享有的3.44億元及應收取的利息損失之債權(“標的債權”)，以2.85億元轉讓給上海銘豪。協議簽訂後，公司將全部標的債權文件交付上海銘豪，並向提供土地抵押的瑞達實業送達了《債權轉讓告知書》；上海銘豪則付清全部債權轉讓款項。
此後，上海銘豪因向多倫綠滿家追討債權無果，向浙江省高級人民法院提起訴訟，經法院審理發現上述他項權利證書存疑，遂以案件涉嫌經濟犯罪，宜移送公安機關偵查為由裁定駁回上海銘豪起訴。後第三人多倫綠滿家不服，向最高人民法院提起上訴，該事項經最高人民法院二審後，維持原裁定。
基於上述事項，上海銘豪認為，事實情況與《債權轉讓協議》中公司承諾保證的內容不符，致使其受讓債權的目的不能實現，故向浙江省嘉興市中級人民法院起訴公司及第三人多倫綠滿家。
此次訴訟上海銘豪的訴訟請求為：
1、請求解除《債權轉讓協議》；
2、判令公司立即歸還債權轉讓款2.85億元；
3、判令公司賠償利息損失10073.05萬元(暫計)；
4、判令公司賠償其他損失6136.66萬元；
5、本案訴訟費用由公司承擔。
截至公告日，上述訴訟尚未開庭審理。
