格隆匯11月27日丨每日互動(300766.SZ)公佈，2019年8月16日，公司第二屆董事會第三次會議審議通過了《關於全資子公司擬與專業投資機構合作設立產業投資基金的議案》，公司全資子公司杭州應景科技有限公司擬與北京國信中數投資管理有限公司及其他合夥人共同投資設立北京國信雲控科技股權投資合夥企業(有限合夥)(“國信雲控”或“產業基金”)。截至目前，國信雲控已完成工商註冊登記手續，且首期出資已經募集完畢。
2019年11月27日，公司召開第二屆董事會第七次會議審議通過了《關於國信雲控產業基金擬對外投資暨關聯交易的議案》，國信雲控擬向北京雲真信科技有限公司(“雲真信”)出資人民幣5000萬元，出資後持有云真信股權比例為20%。因雲真信的現有股東張鵬為公司董事、副總經理，為公司關聯人，此次對外投資系與關聯人共同投資，故構成關聯交易，關聯董事張鵬迴避表決。公司獨立董事發表了事前認可意見及獨立意見。
