*ST人樂(002336.SZ)子公司擬轉讓廣州配銷公司100%股權予西安樂豐行公司
格隆匯11月27日丨ST人樂(002336.SZ)公佈，為盤活資產，提高資產經營效益，公司之全資子公司深圳市人人樂商業有限公司(“深圳人人樂公司”)擬對外轉讓其持有的廣州市人人樂商品配銷有限公司(“廣州配銷公司”)100%股權，受讓方為西安樂豐行商業運營管理有限公司(“西安樂豐行公司”)，轉讓價格為人民幣約3.96億元。
此次交易受讓方西安樂豐行公司由西安曲江文化產業資本運營管理有限公司、西安現代服務業發展基金合夥企業(有限合夥)、深圳市浩明投資管理有限公司發起設立。其中，西安曲江文化產業資本運營管理有限公司是公司控股股東西安曲江文化產業投資(集團)有限公司(“西安曲江文投公司”)全資子公司；西安現代服務業發展基金合夥企業(有限合夥)是西安曲江文投公司參與出資的有限合夥企業；深圳市浩明投資管理有限公司是公司持股5%以上的大股東，根據《深圳交易所股票上市規則》的相關規定，此次交易構成了關聯交易。
廣州市人人樂商品配銷有限公司經營範圍：其他倉儲業(不含原油、成品油倉儲、燃氣倉儲、危險品倉儲);商品批發貿易(許可審批類商品除外);商品零售貿易(許可審批類商品除外);收購農副產品;鮮肉分割加工(限豬肉);冷卻肉分割加工(限豬肉);鮮肉分割加工(限牛肉);鮮肉分割加工(限羊肉);房屋租賃;道路貨物運輸;貨物專用運輸(冷藏保鮮);貨物專用運輸(集裝箱);貨物專用運輸(罐式);肉製品及副產品加工;蔬菜加工;糕點、麪包製造(不含現場製售)
由於近年來公司所屬華南區域受電商衝擊突出、行業競爭激烈以及營運成本不斷高企的影響，不僅經營規模外延擴張受到嚴重製約，而且經營業績也處於連年虧損，從而為之進行商品物流配送服務的廣州配銷公司無法達到原設計的運營預期，導致產能嚴重過剩，資產運營效益低下，同樣一直處於虧損狀態。為盤活資產，提高資產經營效益，公司擬轉讓廣州配銷公司100%股權。此次交易完成後，將對公司增強現金流、降低運營成本和合並報表利潤產生積極影響。
