常山北明(000158.SZ)子公司與趙縣土地儲備中心簽訂房地產收購合同 補償金額6000萬元

格隆匯11月27日丨常山北明(000158.SZ)公佈,公司董事會七屆九次會議以全票贊成通過了《關於全資子公司常山趙紡土地及房屋收購補償的議案》。同意公司全資子公司石家莊常山趙州紡織有限公司(“常山趙紡“)與趙縣土地儲備中心簽訂《房地產收購合同》,由趙縣土地儲備中心代表趙縣人民政府收購常山趙紡位於石家莊趙縣石塔路132號之實測面積為70237.03平方米的土地及房屋所有權,收購補償價格為6000萬元。

此次交易標的物為公司全資子公司常山趙紡所屬位於趙縣石塔路132號的土地及房屋,《國有土地使用證》編號為“趙國用(2005)第2953號”,證載使用面積70361.29平方米(105.54畝),實測面積為70237.03平方米(105.36畝);《房屋所有權證》編號為“趙房權證城字第0150004086號”,證載廠區總建築面積52243.36平方米。土地賬面原價為223.54萬元,賬面價值為160.95萬元。房屋建築物賬面原價為1889.42萬元,賬面價值為737.43萬元。該標的物權屬清晰,不存在抵押、質押等限制轉讓的情形。

此次補償金總額為人民幣 6000萬元,包括土地、地表建築及其它附着物。

此次交易旨在落實公司整體戰略規劃,變現常山趙紡資產,增加公司現金儲備,同時支持趙縣城市建設。經與本公司年報財務審計機構中興財光華會計師事務所(特殊普通合夥)預溝通,常山趙紡如能在2019年度與趙縣土地儲備中心完成交易標的移交手續,則此次交易將增加公司2019年度利潤5000萬元左右;如未能在2019年度完成交易標的的移交手續,則此次交易將增加完成移交手續年度的利潤5000萬元左右。
