中國寶安(000009.SZ)：貝特瑞擬轉讓芳源環保股份130萬股予開弦資本 轉讓價12元/股
格隆匯11月27日丨中國寶安(000009.SZ)公佈，2019年11月26日，公司控股子公司貝特瑞與開弦資本管理有限公司(“開弦資本”)簽署了《股份轉讓協議》，貝特瑞擬向開弦資本轉讓其所持有的芳源環保股份130萬股，轉讓價格為12元/股，轉讓價款總額為1560萬元。此次交易完成後，貝特瑞持有芳源環保股份2926.5萬股，佔芳源環保總股本的13.65%。
廣東芳源環保股份有限公司經營範圍：收集、利用：含鎘廢物(HW26)、含鎳廢物(HW46)(包括廢鎳鎘、鎳氫電池)(憑有效的《危險廢物經營許可證》經營)；生產、銷售：硫酸鎳、球形氫氧化鎳、氫氧化鈷、氯化鎳、硫酸鈷、電解銅、鋰離子電池三元前驅體、鋰離子電池正極材料；環境工程設計、施工、營運；環保設備加工、製造；環境科技的開發、轉讓、實施；非生產性廢舊金屬收購及向收購企業收購生產性廢舊金屬自用；貨物及技術進出口。
基於目標股份市場價格情況，公司綜合考慮芳源環保目前的經營狀況、財務狀況以及鋰離子電池前驅體行業的發展現狀，擬定貝特瑞擬轉讓芳源環保部分股權的交易價格區間為12-13元/股，該價格區間高於芳源環保從全國中小企業股份轉讓系統摘牌時的股價及前期貝特瑞轉讓芳源環保股份的轉讓價格10.8元/股。貝特瑞轉讓部分芳源環保股權有利於貝特瑞收回部分投資收益，用於補充其營運資金，滿足其產業發展的資金需求，符合公司和貝特瑞的利益。
經公司財務部門初步測算，此次交易的 130萬股芳源環保股份預計對公司淨利潤的影響金額為852.8萬元，有助於提升公司業績和股東回報，預計將對公司2019年度業績產生積極影響，具體數據以註冊會計師年度審計確認的結果為準。
此次交易完成後，貝特瑞仍持有 2926.5萬股芳源環保股份，佔芳源環保總股本的13.65%，貝特瑞對芳源環保經營決策仍具有重大影響，雙方保持長期戰略合作關係，貝特瑞持有的剩餘股份將繼續採用權益法核算。貝特瑞剩餘擬轉讓芳源環保股份是否能全部交易成功尚存在不確定性，敬請投資者注意投資風險。
