温氏股份(300498.SZ)：子公司8.1億元入股新大牧業 佔股61.86%
格隆匯11月27日丨温氏股份(300498.SZ)公佈，公司全資子公司温氏產投擬以現金人民幣約3.5億元購買購河南省新大牧業股份有限公司(新大牧業)41.22%股份(“此次股份轉讓”)，同時，温氏產投對新大牧業現金增資人民幣4.6億元(“此次增資”，與此次股份轉讓以下合稱“此次交易”)，温氏產投通過此次交易合計獲得新大牧業5720.49萬股股份，佔新大牧業總股本的比例為61.86%。此次交易資金來源為公司自有資金。
根據前述交易安排並經各方協商一致，温氏產投與相關交易對方於2019年11月26日分別簽署了附生效條件的《温氏(深圳)股權投資管理有限公司與河南省新大牧業股份有限公司股東之股份轉讓協議》(“《股權轉讓協議》”)、《温氏(深圳)股權投資管理有限公司與河南省新大牧業股份有限公司及其股東之增資協議》(“《增資協議》”)。
河南省新大牧業股份有限公司經營範圍：家畜禽養殖(限純種長白、大約克種豬、二元母豬憑證經營)；花木種植(前項國家有專項規定的除外)；蔬菜種植；杜洛克種豬生產；房屋租賃經營。主營業務：商品肉豬、種豬的生產、銷售。
此次交易標的公司新大牧業自1998年成立以來，以種豬繁育業務起家，業務包括生豬育種及繁殖、生鮮肉、農產品、有機肥、諮詢服務等，母豬總設計存欄2.8萬頭，商品豬出欄能力70萬頭，是農業部批准的首批“國家級生豬核心育種場”、河南省“農業產業化省重點龍頭企業”，具有較強的行業影響力。新大牧業核心競爭力突出，飼養成績、綜合成本等生產效率處於行業領先地位。
此次交易符合完善温氏股份產業鏈生態圈的戰略發展方向，有利於增強温氏股份的核心競爭力，增強温氏股份在生豬養殖行業的影響力與行業地位。
新大牧業以種豬業務起家，核心團隊均為畜牧專業出身，擁有豐富的種豬繁育與生豬養殖經驗。新大牧業現有的生產性生物資產儲備，有助於温氏股份快速擴產。
此次交易前，公司2018年末的總資產為約539.5億元，2018年度的營業收入及歸屬於母公司股東的淨利潤分別為約572.36億元和約39.57億元。此次交易後，預計上市公司的收入規模將進一步擴大，盈利能力將得到增強。
