方正證券：湖南高院判決政泉改正抽逃出資行為前停止行使股東權利、駁回返還分紅款及賠償抽逃資金的利息損失
格隆匯11月27日丨方正證券(601901.SH)公佈，2017年4月，公司向湖南省高級人民法院(“湖南高院”)依法起訴股東北京政泉控股有限公司(“政泉控股”)，請求法院依法判令政泉控股向方正證券返還2015年度分紅款項約1.6196億元，並請求法院判決政泉控股在改正抽逃出資行為前停止行使在方正證券的全部股東權利(含表決權、提名權、利潤分配請求權、新股優先認購權、剩餘財產分配請求權等全部股東權利)。湖南高院受理了該案。後公司向湖南高院增加兩項訴訟請求：一是請求法院判令被告政泉控股向方正證券返還2017年度分紅款項1799.59萬元；二是請求法院判令被告政泉控股向方正證券賠償其所抽逃資金的利息損失。
2019年11月26日，公司收到湖南高院送達的(2017)湘民初13號《民事判決書》及(2017)湘民初13號之一《民事裁定書》。
(一)湖南高院(2017)湘民初13號《民事判決書》，判決如下：
“1.在北京政泉控股有限公司改正抽逃出資行為前停止其行使在方正證券股份有限公司的全部股東權利(含表決權、提名權、利潤分配請求權、新股優先認購權、剩餘財產分配請求權等全部股東權利)；
2.駁回方正證券股份有限公司請求北京政泉控股有限公司返還約1.80億元分紅款的訴訟請求。
本案方正證券股份有限公司主張返還分紅款約1.80億元所應繳納的案件受理費約89.98萬元，由方正證券負擔約44.99萬元，政泉控股負擔約44.99萬元。”如不服上述判決，可在判決書送達之日起15日內上訴於最高人民法院。
(二)湖南高院(2017)湘民初13號之一《民事裁定書》，裁定如下：
“駁回方正證券股份有限公司請求北京政泉控股有限公司賠償抽逃20.5億元資金的利息損失的起訴。
方正證券股份有限公司因主張約2.47億元利息損失所預交的案件受理費127.60萬元予以退還。”
如不服上述裁定，可在裁定書送達之日起10日內上訴於最高人民法院。
上述民事判決及裁定均處於上訴期內，尚未發生法律效力。此次訴訟對公司本期利潤無影響，對期後利潤的影響暫無法準確估計。公司將持續關注本次訴訟情況的進展，並及時履行信息披露義務。
