中裝建設(002822.SZ)有意向擬3000萬元對區塊鏈公司玳鴿信息進行增資
格隆匯11月26日丨中裝建設(002822.SZ)公佈，公司於2019年11月25日與上海玳鴿信息技術有限公司(“玳鴿信息”)簽署了《深圳市中裝建設集團股份有限公司增資上海玳鴿信息技術有限公司之投資框架協議》。
公司有意向擬以人民幣3000萬元對玳鴿信息進行增資，增資後公司佔玳鴿信息20%的股權。其中，第一筆投資金額為人民幣1500萬元，公司增資後進行股權變更，公司持有玳鴿信息10%股權。
在完成第一筆投資後(以工商變更登記日為準)，公司可在未來6個月內，按此次投資估值，優先於新投資者，行使對玳鴿信息追加第二筆投資的權利，投資金額為1500萬元。第二筆投資款到位後，公司合計持有玳鴿信息20%股權。若在上述期限內公司第二筆投資款到位之前，有其他投資者高於上述估值對玳鴿信息進行投資，且投資額不小於1000萬，則公司應在玳鴿信息和其他投資者簽訂投資意向協議後三個工作日內決定是否進行第二筆投資，否則公司喪失追加第二筆投資的優先權。
玳鴿信息是一家專注於區塊鏈技術研發與運用的技術公司，為上海市區塊鏈技術協會理事單位。目前，玳鴿信息擁有多項區塊鏈核心技術，其技術產品線將在產業金融、銀行、信託、汽車金融及監管科技領域中陸續得到實際應用，其中“玳鴿區塊鏈技術服務”、“CarBaaS-汽車金融區塊鏈服務平台”、“基於區塊鏈的汽車金融資產證券化服務平台”三項區塊鏈服務已通過國家網信辦第二批區塊鏈信息服務備案。此外，公司與玳鴿信息已設立合資公司上海裝連科技有限公司，致力於打造建築裝飾業區塊鏈BaaS技術服務平台。
區塊鏈技術作為以去中心化方式集體維護一個可靠數據庫的技術方案，具有去中心化、防篡改、高度可擴展等特點，是一項將對未來產生重大影響的新興技術。公司此次與玳鴿信息簽署《投資框架協議》旨在發揮雙方優勢，共同發展，實現合作共贏，符合公司未來的戰略發展規劃。如此次合作事項能順利展開，將能發揮公司在供應鏈管理方面的場景優勢，進一步強化公司在行業的競爭力，對公司未來財務狀況和經營業績產生積極影響。
