桃李麪包(603866.SH)稱：控股股東吳志剛和盛雅莉已屬高齡因個人生活需求減持 不存在對公司發展信心不足
格隆匯11月26日丨桃李麪包(603866.SH)公佈，公司關注到有媒體在網絡上發佈題為《桃李麪包大股東密集減持營收增速放緩多項數據存疑》的文章，公司關注到上述報道後進行了認真核實，相關媒體報道中的內容與事實嚴重不符，為了避免對投資者構成誤導，現予以澄清説明。具體説明如下：
(一)關於股東減持問題的説明
文中稱“桃李麪包首發限售股全面解禁後，該公司的原始股東們便開啟了拋售模式，頻繁減持套現”。具體説明如下：
公司控股股東及主要親屬未解禁前持有的公司股份佔公司總股本的比例為83.07%，公司股票解禁後，公司嚴格按照《上海證券交易所上市公司大股東及董事、監事、高級管理人員減持股份實施細則》等法律法規、部門規章和規範性文件的要求實施減持計劃。公司第一大股東、實際控制人、董事兼總經理吳學羣先生和公司實際控制人、董事長吳學亮先生自上市以來未曾減持過公司股份，對公司未來發展有堅定的信心。公司控股股東吳志剛先生和盛雅莉女士已屬高齡，因個人生活需求而減持公司股份，其餘親屬因個人資金需求而減持部分公司股份，並不存在對公司發展信心不足的原因。截至2019年11月，公司控股股東及主要親屬持有公司股份佔公司總股本的比例仍高達76.98%。公司將持續關注公司控股股東及主要親屬減持計劃的實施情況，及時履行信息披露義務，並督促其嚴格遵守相關法律法規、部門規章和規範性文件的相關要求。
(二)關於首發項目問題的説明
公司於2018年3月28日發佈了《關於變更部分募投項目實施主體及實施地點的公告》，公告中説明原土地因高鐵規劃佔用及地上有高壓線無法施工，從而導致公司未能按照約定時間開工建設，該項目於2019年5月底取得建築工程施工許可並正式動工，公司正加快推動項目建設，項目進展順利。具體情況詳見公司《關於2019年半年度募集資金存放與使用情況的專項報告》
(三)關於“營業收入涉嫌虛增”的説明
文章質疑“2018年年度財務報告中，將含税營業收入與銷售商品、提供勞務收到的現金相比較，在考慮應收賬款本期增加額的情況下，仍然有部分營業收入沒有相關債權支持”，這是由於公司的部分營業收入未體現為現金流，如公司部分客户以其應付給公司的貨款與公司應付給該客户的門店費用相抵的部分。2017年同理。
(四)關於“採購數據存疑”的説明
文章質疑“2018年年度財務報告中，將含税採購金額與購買商品、接受勞務支付的現金相比較，在考慮應付及預收賬款變動影響的情況下，仍有部分現金流出沒有依據”，這是由於文章利用財務報告中前五大供應商的採購額來推測集團採購總額的方法不全面。公司財務報告中，用於計算前五大供應商採購比例的採購總額為公司與主營業務(麪包、月餅、粽子生產)相關的原材料採購合計，並不包含其他與生產經營相關的如其他生產用物料、水電燃氣、低值易耗品、維修配件、安保費用等採購支出。2017年同理。
(五)關於“鉅額存貨不可信”的説明
文章質疑“採購與存貨存在勾稽差異”。如前述所及，文章根據部分財務報告數據所推測出的採購總額僅包括採購原材料總額，並非公司全部採購支出金額，而其後續對存貨、能源的分析均建立在此基礎之上，因此所得出的結論與事實不符。
