東方明珠(600637.SH)擬2.8億元收購科影廠公司100%股權、出資清償借款本金4.5億元及相應利息

格隆匯11月26日丨東方明珠(600637.SH)公佈,2019年11月25日,公司全資子公司上海東方明珠實業發展有限公司(“明珠實業”)與上海文化廣播影視集團有限公司(“文廣集團”)簽訂了《上海科學教育電影製片廠有限公司100%股權協議轉讓交易合同》,明珠實業擬通過非公開協議轉讓的方式收購文廣集團持有的上海科學教育電影製片廠有限公司(“科影廠公司”)100%股權,股權收購對價約2.8億元。協議轉讓完成後,由明珠實業出資清償文廣集團前期向科影廠公司提供的借款本金4.5億元及相應利息。

科影廠公司的核心資產為上海科影置業有限公司(“科影置業”)持有的斜土路2570號房地產。科影置業已與徐彙區規劃和自然資源局簽訂了土地出讓合同並辦理了不動產權利證書;同時,科影置業已就“徐彙區斜土路2570號科影廠大樓新建項目”(“斜土路項目”)獲得了徐彙區發改委的項目立項核准文件。

斜土路項目位於徐彙區徐家彙街道斜土路2570號,斜土路雙峯北路交叉路口的西南角,佔地面積13,565.1平方米,土地用途為文體用地,容積率3.0

通過收購科影廠公司股權,公司獲得斜土路2570號房地產產權,後續將投資開發建設斜土路2570號科影廠大樓項目打造集新媒體文化辦公、配套商服設施、社區文化服務設施為一體的文化地產標杆項目。完成開發建設後公司將長期持有、經營斜土路項目至土地出讓年限屆滿止。

斜土路項目地處徐彙區內環內,隨着城市的快速更新發展,上海市內環內、尤其是徐彙區內環內的土地資源極為稀缺項目自身區位交通優勢突出、商務辦公氛圍濃厚,斜土路項目建成後將成為一塊優質的房地產資產,預計項目投資開發將獲得穩定、可靠的投資收益。

徐彙區歷史文化底藴深厚,結合斜土路項目的文化用地屬性,導入文廣集團和公司豐富的文化、品牌、產業資源,可將斜土路項目塑造成一個區域性的文化產業標杆項目,有助於提升企業的品牌價值。
