原尚股份(603813.SH)子公司擬租賃億榮倉儲位於廣州增城區的建築物及設施
格隆匯11月26日丨原尚股份(603813.SH)公佈,公司全資子公司廣州美穗茂物流有限公司(“美穗茂”或“乙方”)與廣州市億榮倉儲有限公司(“億榮倉儲”或“甲方”)擬簽訂《倉儲服務合同》,美穗茂擬租賃億榮倉儲位於廣州市增城區新塘鎮永寧街香山大道33號的建築物及設施(“標的”),該標的建築面積合計57985㎡,合同期限為2019年12月01日至2037年08月31日,其中2019年12月1日至2021年6月30日期間的倉儲服務費為27.36元/㎡(不含税價格),從2021年7月1日起,倉儲服務費開始每三年遞增8%。租賃合同總金額約為4.27億元(不含税)。
租賃意向標的位於廣州市增城區新塘鎮永寧街香山大道33號,土地使用證編號為:增集用(2014)第JT000351號,地類用途為工業用地,標的建築面積合計57985平方米。
項目情況:1.甲方以自有庫房、辦公樓、門衞崗亭及附屬設施(建築物及設施)等為乙方提供倉儲服務。2.地址:廣州市增城區新塘鎮永寧街香山大道33號。3.面積:甲方提供給乙方使用的建築物面積合計:57985平方米。4.附屬設施包括:水、電設施、電梯、鐵閘,消防設備、裝卸平台及變壓器設備以及市政設施等。
協議的租賃合同總金額約為約4.27億元(不含税),占上市公司最近一期經審計淨資產的50%以上,需要提交股東大會審議;但由於合同自2019年12月1日開始正式履行,履行期限為17.75年,因執行合同可能產生的營業收入、費用及利潤將按照實際執行年度進行分期確認,因此,合同的簽署對公司2019年度資產總額、資產淨額、營業收入及淨利潤均不產生重大影響。
履行《倉儲服務合同》將充實公司在廣州地區的倉庫資源,增強公司的區域配送、倉儲和增值服務能力,符合公司發展戰略。
