保變電氣(600550.SH)無法收回委託貸款而造成損失 起訴岷江水電
格隆匯11月26日丨保變電氣(600550.SH)發佈起訴四川岷江水利電力股份有限公司的公告，此次訴訟中，公司向法院提交的《民事起訴狀》中的訴訟請求及事實與理由如下：
《民事起訴狀》中的訴訟請求：1.判令被告向原告賠償因其未履行提供借款擔保或融資義務，給原告造成的損失1379.86萬元；
2.判令被告向原告賠償因違反《天威四川硅業有限責任公司出資人協議》的約定所應支付的違約金1960萬元(違約金計算方式為：以被告應提供的貸款擔保或股東融資的金額為基數，按照月利息2%，自2013年11月26日起至被告賠償上述所有損失止)；
3．判令被告承擔本案的訴訟費、保全費等一切訴訟費用。
《民事起訴狀》中的事實與理由：公司與岷江水電、四川省投資集團有限責任公司(“川投公司”)於2007年12月簽訂《天威四川硅業有限責任公司出資人協議》，三方約定對天威四川硅業有限責任公司(“硅業公司”)應當嚴格按照貸款時各自所佔的註冊資本比例對各筆銀行貸款提供擔保，不能提供抵押擔保的，股東應按照持股比例為公司提供合法的股東融資，同時約定由於任何一方不按本協議的規定為公司貸款提供擔保，造成硅業公司無法經營或無法達到預期經營目標或使貸款項目無法實施的，每逾期一月違約方應向守約方支付其應擔保金額的1%-2%作為違約金。
2013年11月，保變電氣與中國工商銀行股份有限公司保定朝陽支行簽訂了《一般委託貸款借款合同》，岷江水電與川投公司拒絕按照上述協議履行股東提供貸款擔保或股東融資的義務。
後因硅業公司資不抵債，向法院申請破產，保變電氣向破產管理人申報了債權。根據最終裁定的《天威四川硅業有限責任公司破產財產分配方案》，公司提供的委託貸款未獲得全額清償。岷江水電因拒不履行協議所確定的義務提供貸款擔保或進行股東融資，導致硅業公司最終無法正常經營，進入破產清算程序，也因此導致保變電氣無法收回委託貸款而造成損失，故提起訴訟。
