中興商業(000715.SZ)：控股股東收購一商集團與公司存潛在同業競爭 承諾未來將其商業類資產和業務注入公司
格隆匯11月25日丨中興商業(000715.SZ)公佈，公司於2019年11月25日收到控股股東遼寧方大集團實業有限公司(“方大集團”)《關於簽訂
<產權交易合同>
暨出具解決潛在同業競爭問題承諾的通知》。方大集團於2019年11月22日與天津津誠國有資本投資運營有限公司(“津誠資本”)簽訂了《產權交易合同》，收購其所持有的天津一商集團有限公司(“一商集團”)100%股權。一商集團下屬部分公司從事商業類業務，此次交易完成後，與中興商業存在潛在同業競爭。
為妥善解決前述潛在同業競爭問題，方大集團承諾：
(1)一商集團股權完成工商變更登記手續後，方大集團將積極督促一商集團完成相關法律主體、資產及業務的整合工作，並積極督促一商集團努力提高經營業績，儘快使一商集團商業類資產和業務具備註入上市公司條件。
(2)在一商集團商業類資產和業務按照相關法律法規之規定符合注入上市公司條件(如公司治理結構完善、資產產權清晰、盈利、符合國家產業政策的規定、生產經營依法合規等)後三年內，方大集團將其按法定程序以市場公允價格注入中興商業。若屆時未能注入，方大集團將採取法律法規允許的其他方式妥善解決潛在的同業競爭問題，最遲不超過2025年4月10日。
(3)方大集團承諾在整合後的一商集團商業類資產和業務未注入中興商業前，不會利用控股地位達成不利於中興商業利益的交易和安排。
此次交易完成後，在可提高上市公司資產質量、增強上市公司持續盈利能力的情況下，方大集團將促成將一商集團商業類資產和業務注入公司。該事項尚需提交公司董事會、股東大會等機構審議通過並可能需經監管部門審批，存在審議不通過或監管部門不予批准的風險。一商集團商業類資產和業務可能由於規範性、市場狀況發生變化或內部經營管理不當等原因而導致其不符合上市公司收購標準的風險。
