紅星美凱龍(01528.HK)董事會會議審議通過多項貸款議案
格隆匯11月25日丨紅星美凱龍(01528.HK)公佈，2019年11月25日，公司董事會會議審議通過《關於公司向華夏銀行股份有限公司上海分行申請貸款的議案》，同意公司向華夏銀行股份有限公司上海分行申請為期不超過12個月的流動資金貸款人民幣30,000萬元，用於替換存量貸款、商場裝修及其他合法合規的用途，擔保方式為公司自身信用。
審議通過《關於公司向中國光大銀行上海分行申請貸款的議案》，同意公司向中國光大銀行上海分行申請單筆貸款期限不超過12個月（含12個月）的流動資金貸款人民幣20,000萬元，用於公司補充流動資金、支付裝修款及其他合法合規的用途,擔保方式為公司自身信用。
審議通過《關於公司為子公司上海虹欣歐凱家居有限公司向中信銀行股份有限公司上海分行申請貸款提供擔保的議案》，同意公司子公司上海虹欣歐凱家居有限公司向中信銀行股份有限公司上海分行申請為期10年的固定資產支持融資貸款40,000萬元貸款用於歸還公司提供給虹欣歐凱的股東借款。
審議通過《關於子公司為公司向華商銀行深圳分行申請流動資金貸款提供擔保的議案》，同意公司向華商銀行深圳分行申請為期24個月的流動資金貸款人民幣50,000萬元，用於營運資金週轉、置換負債性資金，具體內容以簽署的《流動資金借款合同》等相關協議約定為準。公司子公司天津紅星美凱龍家居家飾生活廣場有限公司擬以其持有的津（2019）濱海新區塘沽不動產權第1032682號房產證項下位於濱海新區塘沽雲山道2857號的房產為本次貸款提供抵押擔保；上述擔保方式擬提供擔保的金額為50,000萬元。
此外，審議通過《關於子公司為公司向南洋商業銀行（中國）有限公司蘇州分行申請融資性保函提供擔保的議案》，同意公司向南洋商業銀行（中國）有限公司蘇州分行申請單筆期限不超過13個月的融資性保函人民幣50,000萬元，用於為公司在境外銀行融資提供擔保；境外貸款的用途為歸還公司境內的短期借款。
審議通過《關於子公司為公司向平安銀行股份有限公司上海市分行申請流動資金貸款提供擔保的議案》，同意公司向平安銀行股份有限公司上海分行申請為期不超過12個月的流動資金貸款，金額不超過人民幣30,000萬元，用於公司補充流動性資金、置換他行流動資金貸款等。公司子公司上海紅星美凱龍裝飾傢俱城有限公司以其持有的位於上海市普陀區真北路1208號/梅川路1129號商業房產（滬房地普字（2004）第014972號）物業為本次貸款提供餘值抵押。上述擔保方式擬提供擔保的金額為30,000萬元。
