招商港口(001872.SZ)：TL擬9.55億美元收購CMA下屬10個碼頭股權資產 招商局港口提供融資不超9.68億美元
格隆匯11月25日丨招商港口(001872.SZ)公佈，此次提供財務資助暨對外投資的關聯交易事項進行主體為公司控股子公司招商局港口(00144.HK)。
為進一步完善全球港口布局，提升市場地位，公司控股子公司招商局港口於2019年11月25日與CMA CGM SA(法國達飛集團公司，“CMA”)簽署了《Memorandum of Agreement Between C hina Merchants Port Holdings and CMA CGM》。
雙方約定，CMA擬將其持有的10個碼頭股權資產轉讓至Terminal Link(“TL”)，轉讓對價約9.55億美元，對應49%權益價值為4.68億美元。
為完成此次轉讓，招商局港口或由其控制的企業(以下統稱為“招商局港口方”)向TL提供合計不超過9.68億美元的融資，其中不超過5億美元為期限8年的設有擔保的長期貸款，不超過4.68億美元為認購TL發行的強制可轉換債券。長期貸款到期時，CMA將主要通過對TL注資以提供償還貸款所需的現金，招商局港口方持有的可轉債將全部強制轉換為TL的股權。
通過此次交易TL擬將收購CMA下屬10個碼頭股權資產，招商局港口的子公司和CMA仍分別持有TL 49%和51%的股權。《協議備忘錄》對招商局港口方和CMA均有約束力，《協議備忘錄》僅包含就此次交易CMA及招商局港口主要達成一致的條款及條件，招商局港口與CMA就此次交易將進一步協商及簽署正式協議。
通過此次對外投資，公司將通過TL間接持有CMA下屬10個碼頭股權資產49%的權益。上述碼頭分佈在歐洲，東南亞，美洲等全球各地區，處於全球主樞紐港和門户港，以及市場潛力大、經濟成長快，發展前景好的地區，可進一步完善公司在全球範圍內的港口資產佈局。
收購CMA碼頭資產將進一步提升公司海外集裝箱碼頭箱量規模和市場佔比以及行業排名，增強公司的行業影響力。
CMA是招商港口最大的客户之一，收購CMA碼頭資產將深化招商港口與CMA的合作，打造港口+航運的全球合作體系，全面覆蓋東西向和南北向航線的重要區域(歐洲、美洲、非洲)。同時雙方共同打造在歐美和非洲的港口投資合作平台，發揮各方優勢，尋求核心利益平衡點，實現雙贏。
此次交易後，招商港口的全球碼頭網絡將延伸至更廣，形成全球化的物流合作平台，進一步拓展招商港口和招商局集團其他業務板塊的協同發展機遇。
