格隆匯11月25日丨ST銀億(000981.SZ)公佈,2018年1月,公司全資子公司寧波銀億房地產開發有限公司(“寧波銀億房產”)與遼寧共享碧桂園置業有限公司(“遼寧碧桂園”)簽訂《股權轉讓協議》,即寧波銀億房產擬將下屬全資子公司瀋陽銀億房地產開發有限公司(“瀋陽銀億房產”)50%股權轉讓給遼寧碧桂園,雙方就瀋陽銀億房產開發的銀億萬萬城項目進行差異化合作,其中銀億萬萬城一期至五期南已開發部分為協作項目(“協作項目”,由寧波銀億房產負責資金投入、自負盈虧,遼寧碧桂園代為銷售),銀億萬萬城五期北至十期未開發部分為合作項目(“合作項目”,由雙方按持股比例共同投入資金、分配利潤、共擔分險,遼寧碧桂園操盤)。

此後,公司於2019年3月將瀋陽銀億房產合作項目(五期北至十期)22.22%股權及44.44%債權作為給“H6銀億05”和“H6銀億07”兩期債券提供增信措施並質押給該兩期債券。根據公司正常經營發展安排,寧波銀億房產擬向遼寧碧桂園轉讓瀋陽銀億房產剩餘50%股權(包含合作項目50%股權及協作項目100%權益),並擬就合作項目50%股權及協作項目100%權益分別商談合同對價並分別簽訂相關轉讓協議。此次股權轉讓擬以合作項目和協作項目淨資產為作價依據,在參考相關評估數據的基礎上,經雙方共同協商,確定合作項目50%股權及協作項目100%權益的交易對價分別為5.715億元、1.2319億元,兩部分合計總對價為6.9469億元。此次交易完成後,公司將不再持有瀋陽銀億房產股權,由遼寧碧桂園獨立開發項目土地,並享有瀋陽銀億房產(包括合作項目和協作項目)的全部權益。

瀋陽銀億房地產開發有限公司主營業務:房地產開發,商品房銷售,自有房屋租賃,物業管理服務。

此次股權轉讓完成後,公司將不再持有瀋陽銀億房產(包括合作項目和協議項目)股權,其不再納入公司合併報表範圍,因此公司的資產、負債、現金流會發生一定變化。此次交易完成後,公司不存在為瀋陽銀億房產提供股東借款、擔保及委託貸款等情況。此次交易有利於公司緩解資金壓力,對公司可持續經營發展產生積極影響,預計獲得利潤約2.3億元,最終以年度審計結果為準。此次交易涉及交易對方向公司支付款項,公司董事會已對交易對方遼寧碧桂園資信情況及其交易履約能力進行了必要的盡職調查,認為交易風險可控,能夠保證款項收回。
