電科院(300215.SZ)：選舉胡醇為董事長及聘其為總經理
格隆匯11月25日丨電科院(300215.SZ)公佈，公司於2019年11月23日召開第四屆董事會第七次會議，審議通過了《關於選舉公司董事長的議案》、《關於聘任公司總經理的議案》、《關於增補公司第四屆董事會審計委員會成員的議案》。
公司董事會於2019年11月23日收到公司董事長、總經理胡德霖的書面《辭職報告》。為更好地促進公司長遠發展考慮，胡德霖申請辭去公司董事長、總經理職務，其辭職自董事會選舉出新的董事長、總經理起生效。根據《公司法》、《公司章程》的相關規定，胡德霖的辭職未導致公司董事會成員低於法定最低人數，公司董事會同意胡德霖的辭職請求。
胡德霖辭職後不再擔任公司董事長、總經理職務，但會繼續擔任公司黨委書記、院長；董事會董事、董事會戰略委員會主任委員及董事會審計委員會委員；其辭職不會對公司日常生產經營和管理產生不利影響。截至公告披露日，胡德霖先生持有公司24.54%的股份，不存在應當履行的股份鎖定承諾，但在董事任職期間每年轉讓的股份仍不得超過其所持公司股份總數的25%；其兒子胡醇持有公司10.30%的股份；兩人仍為公司控股股東、實際控制人。此外，胡德霖也不存在應當履行而未履行的承諾事項。
公司於2019年11月23日召開第四屆董事會第七次會議，審議通過了《關於選舉公司董事長的議案》、《關於聘任公司總經理的議案》等議案。胡醇已於2019年10月30日公司2019年第二次臨時股東大會審議通過後入選公司董事會；根據《公司法》、《公司章程》的有關規定和公司的實際情況，公司董事會選舉胡醇為公司董事長，聘任胡醇為公司總經理，任期均自此次董事會審議通過之日起至第四屆董事會任期屆滿之日(2021年11月28日)。此次選舉新董事長、聘請新總經理後，董事會中兼任公司高級管理人員的董事人數總計未超過公司董事總數的二分之一。
鑑於公司原董事及第四屆董事會審計委員會委員張苑已於2019年10月12日辭職，根據上市公司治理規範性文件以及《公司章程》等的相關規定，公司董事會增補董事胡德霖為公司第四屆董事會審計委員會委員，與獨立董事陳議、獨立董事王利劍一起繼續組成公司第四屆董事會審計委員會，其任期為自此次董事會審議通過之日起至本屆董事會任期屆滿之日。其中獨立董事王利劍仍為審計委員會主任。
