深賽格(000058.SZ)：橙果酒店確定2名戰略投資者 並已收到彼等及員工持股平台的增資款
格隆匯11月25日丨深賽格(000058.SZ)公佈，公司分別於2019年6月3日、2019年6月19日召開第七屆董事會第五十四次臨時會議、2019年第三次臨時股東大會，審議通過了關於深圳橙果商務酒店管理有限公司(“橙果酒店”)擬以增資擴股方式引進戰略投資者同時實施管理層和核心骨幹持股的事項，其中，戰略投資者通過公開掛牌方式產生，掛牌價格以經深圳市國資委備案的橙果酒店淨資產評估價值為基礎(評估基準日為2018年8月31日)，採用競爭性談判合理確定；通過設立員工持股平台公司向橙果酒店增資的方式實施管理層和核心骨幹持股，員工持股平台公司不參與議價，員工持股平台公司與戰略投資者以現金入股，同股同價。
目前，橙果酒店通過深圳聯合產權交易所公開掛牌及競爭性談判方式確定2名戰略投資者，並已收到2名戰略投資者及員工持股平台的增資款項，此次交易實施完畢。
戰略投資者為：深圳市華美達建設工程有限公司、深圳金專人才網絡服務有限公司。
華美達、金專人才、員工持股平台以貨幣方式向橙果酒店合計投資人民幣1554.66萬元，其中，818.18萬元計入實收資本，7360.48萬元計入資本公積。
華美達投資690.96萬元，其中363.64萬元計入註冊資本，餘額327.32萬元計入資本公積；金專人才投資172.74萬元，其中90.909萬元計入註冊資本，餘額81.83萬元計入資本公積；員工持股平台投資690.96萬元，其中363.636萬元計入註冊資本，餘額327.323萬元計入資本公積。
此次增資後，橙果酒店由深圳市賽格寶華企業發展股份有限公司、深圳市華美達建設工程有限公司、深圳金專人才網絡服務有限公司、員工持股平台深圳市賽寶橙投資股份有限公司分別持股55%、20%、5%、20%。
協議簽署後的5個工作日內，華美達、金專人才、員工持股平台應將認購款(人民幣1554.66萬元)一次性支付至橙果酒店指定的銀行驗資賬户。
