招商局港口(00144.HK)：9.68億美元投資Terminal Link 後者擬9.55億美元收購10個碼頭組合
格隆匯11月25日丨招商局港口(00144.HK)公佈，於2019年11月25日，公司與CMA CGM訂立綜合協議備忘錄，據此，Terminal Link擬自CMA CGM及其聯屬人士收購10個碼頭組合的權益，總代價為9.55億美元。
為對該建議收購事項進行融資，公司建議認購由TerminalLink發行並以美元計值的強制性可換股債券，金額最多為4.68億美元，票面利率為6.0%，及公司授予Terminal Link本金額最多5億美元，利率為6.0%(扣除所有税項)的8年期有抵押定期貸款融資。總額最多為9.68億美元。
據悉，Terminal Link的主要業務活動為提供海運碼頭服務。公司透過其間接全資附屬公司擁有49%股權， 而CMA CGM透過其全資附屬公司擁有51%股權。於公告日期，Terminal Link於遍佈四大洲、位處八個國 家(法國、摩洛哥、馬爾他、美國、象牙海岸共和國、比利時、希臘及南韓)的 13個碼頭擁有不同水平的股權。交易完成後，Terminal Link將於服務亞洲、歐洲、中東及加勒比等各地區的23個碼頭組合擁有不同水平的股權。
董事認為建議交易讓集團能透過Terminal Link投資於該組合，與集團策略一致，並標誌着集團向擴展其國際業務版圖邁出重要一步。根據建議交易，Terminal Link將向CMA CGM收購一系列位於亞洲、歐洲、中東及加勒比等多個地區的集裝箱港口，其各自擁有強勁的增長潛力。此外，董事認為集團與CMA CGM透過Terminal Link建立的戰略關係將支援集團的長期增長及日後發展。
集團相信，Terminal Link涉足新興市場的碼頭及其潛在新項目儲備，是其未來業務量增長及財務回報的另一推動力。
另一方面，集團預期其現有的中國及全球碼頭業務網絡(以及因而取得的貨流業務)將可能補足及補充CMA CGM及Terminal Link提供的服務，從而為集團、CMA CGM及Terminal Link，以及集團、CMA CGM及Terminal Link各自的航運客户創造協同利益。
