瑞豐動力(02025.HK)擬500萬歐元收購聖讓汽車系統10.7%的股權
格隆匯11月24日丨瑞豐動力(02025.HK)公佈，2019年11月22日，公司擬向Saint Jean Industries收購目標公司聖讓汽車系統(常熟)有限公司10.7%的股權，代價為500萬歐元。
目標公司為一家於2017年5月10日根據中國法律成立的有限公司，註冊資本為200萬歐元。目標公司的業務範圍主要包括動力系統、制動系統、汽車零部件、輪對零部件、發動機及底盤零部件設計及製造、自制產品銷售及提供相關支持及服務；以及上述產品的批發、進出口及分銷。
賣方於1962年成立，已發展成為一家包括(其中包括)底盤、發動機及車輪等產品的國際供應商，其生產基地位於美利堅合眾國、歐洲及亞洲，並擁有超過2500名僱員的團隊。賣方及其附屬公司可為運輸及工業機械行業提供解決方案。於股權轉讓完成後，集團將能與賣方(即集團聲譽良好且具規模的業務合作伙伴，作為目標公司的共同股東)共同探索及開發鑄造技術，並受益於據此產生的協同效應、鑄造技術改進及獲得製造鋁合金產品的專業技能。此外，由於預計目標公司將委聘集團進一步加工其生產的產品，故業務合作亦將進一步為集團帶來商機。
公司的股份已於2018年1月5日於聯交所主板上市及所得款項淨額約人民幣2.647億元。誠如公司日期為2019年10月4日的公告所披露，於2019年6月30日，尚未動用的所得款項淨額約為人民幣1.096億元，根據招股章程中“未來計劃及所得款項用途”一節所載的指定用途，其中約人民幣8710萬元擬用於優化智能製造流程及約人民幣2250萬元擬用於購買設備及支付有關加強與第三方行業合作伙伴合作的其他成本。
經審慎評估集團的現有業務需求後，為促進集團財務資源有效分配並把握有利的投資機會，董事會決議更改尚未動用的所得款項的用途，故尚未動用的所得款項淨額中約人民幣3800萬將用於結算代價、人民幣2000萬元將繼續用於優化智能製造流程及餘下人民幣4000萬元及約人民幣1160萬元將分別分配用於償還短期借款及補充集團的營運資金及作一般企業用途。
