風華高科(000636.SZ)：信披存虛假記載、未及時披露董事會及監事會決議 與相關當事人收到行政處罰決定書
格隆匯11月24日丨風華高科(000636.SZ)公佈，2019年11月22日，公司及相關當事人收到中國證監會廣東監管局下發的《行政處罰決定書》([2019]13號)。
經查明，風華高科存在以下違法事實：披露的信息存在虛假記載(應收賬款形成及處置情況，2015年年度報告、2016年半年度報告、2016年年度報告存在虛假記載)，未及時披露董事會及監事會決議。
根據當事人違法行為的事實、性質、情節與社會危害程度，依據《證券法》第一百九十三條第一款的規定，我局決定:
一、責令風華高科改正，給予警告，並處以40萬元罰款;
二、對李澤中、廖永忠、幸建超給予警告，並分別處以20萬元罰款;
三、對賴旭給予警告，並處以15萬元罰款;
四、對王金全、唐惠芳、蘇武俊給予警告，並分別處以5萬元罰款;
五、對王廣軍、高慶、劉科、張遠生、於海湧、李耀棠、譚洪舟、黃智行、唐浩、顏小梅、李旭傑、付振曉、夏利鋒、丘旭明、陳大疊、陳海青、李格當、祝忠勇、陳緒運給予警告，並分別處以3萬元罰款。
當事人應自收到本處罰決定書之日起15日內，將罰款匯交中國證券監督管理委員會(財政匯繳專户)，開户銀行：中信銀行北京分行營業部，賬號7111010189800000162，由該行直接上繳國庫，並將注有當事人名稱的付款憑證複印件送我局備案。當事人如果對本處罰決定不服，可在收到本處罰決定書之日起60日內向中國證券監督管理委員會申請行政複議，也可在收到本處罰決定書之日起6個月內直接向有管轄權的人民法院提起行政訴訟。複議和訴訟期間，上述決定不停止執行。
根據《行政處罰決定書》認定的情況，公司判斷，《行政處罰決定書》涉及的違法行為未觸及深圳證券交易所《上市公司重大違法強制退市實施辦法》第二條、第四條、第五條和《股票上市規則》第13.2.1條第（七）項至第（九）項規定的重大違法強制退市情形。
