ST銀河(000806.SZ)：實控人潘琦擬被給予警告並處30萬元罰款、10年證券市場禁入
格隆匯11月24日丨ST銀河(000806.SZ)公佈，近日，公司、銀河集團等相關當事人收到了中國證監會廣西監管局出具的《行政處罰事先告知書》(桂處罰字[2019]3號、桂處罰字[2019]4號)。
《行政處罰事先告知書》(桂處罰字[2019]3號)：
經查，銀河生物涉嫌違法的主要事實如下：未按規定披露關聯方非經營性佔用資金的關聯交易、未按照規定披露為關聯方提供擔保的情況、未按規定披露重大訴訟信息、未按規定披露銀河集團所持銀河生物股份被司法凍結事項。
根據當事人的違法事實、性質、情節與社會危害程度，依據《證券法》第一百九十三條第一款、第三款規定，中國證監會廣西監管局擬決定：
1.對銀河生物責令改正，給予警告，並處以60萬元罰款；
2.對實際控制人潘琦給予警告，並處以30萬元罰款；
3.對現任、時任董事長、董事徐宏軍、唐新林、刁勁鬆給予警告，並分別處以30萬元罰款；
4.對財務總監張懌給予警告，並處以25萬元罰款；
5.對董事葉德斌給予警告，並處以20萬元罰款；
6.對現任和時任董事盧安軍、王肅、劉傑、朱洪彬、宋海峯給予警告，並分別處以15萬元罰款；
7.對時任董祕陳汝平給予警告，並處以10萬元罰款；
8.對時任監事蔡瓊瑤給予警告，並處以5萬元罰款。
此外，中國證監會廣西監管局擬決定：對潘琦採取10年證券市場禁入措施，對徐宏軍、唐新林分別採取5年證券市場禁入措施，對刁勁鬆、張懌分別採取3年證券市場禁入措施。自中國證監會廣西監管局宣佈決定之日起，上述人員在上述年限內不得從事證券業務或者擔任上市公司、非上市公眾公司董事、監事、高級管理人員職務。
依據《中華人民共和國行政處罰法》第三十二條、第四十二條和《中國證券監督管理委員會行政處罰聽證規則》（證監會令第119號）等有關規定，就中國證監會廣西監管局擬對相關當事人實施的行政處罰，相關當事人享有陳述、申辯和要求聽證的權利，相關當事人提出的事實、理由和證據，經中國證監會廣西監管局複核成立的，中國證監會廣西監管局將予以採納。如果相關當事人放棄陳述、申辯和聽證的權利，中國證監會廣西監管局將按照上述事實、理由和依據作出正式的行政處罰決定。

經查，銀河集團涉嫌違法的主要事實如下：未按規定披露所持有的銀河生物股份被司法凍結事項
根據當事人的違法事實、性質、情節與社會危害程度，依據《證券法》第一百九十三條第一款規定，中國證監會廣西監管局擬決定：
1.對銀河集團責令改正，給予警告，並處以40萬元罰款；
2.對姚國平給予警告，並處以15萬元罰款。
依據《中華人民共和國行政處罰法》第三十二條、第四十二條和《中國證券監督管理委員會行政處罰聽證規則》（證監會令第119號）等有關規定，就中國證監會廣西監管局擬對相關當事人實施的行政處罰，相關當事人享有陳述、申辯和要求聽證的權利，相關當事人提出的事實、理由和證據，經中國證監會廣西監管局複核成立的，中國證監會廣西監管局將予以採納。如果相關當事人放棄陳述、申辯和聽證的權利，中國證監會廣西監管局將按照上述事實、理由和依據作出正式的行政處罰決定。
