華建控股(00479.HK擬4000萬港元收購湖南食品業務
格隆匯11月22日丨華建控股(00479.HK)公佈,於2019年11月22日,公司與胡健訂立諒解備忘錄,據此,公司擬向胡健收購湖南長樂情食品科技股份有限公司的51%已發行股本,代價為4000萬港元。代價將通過支付現金1500萬港元及發行2.50億股實現,每股發行價0.10港元較11月22日收市價每股0.016港元溢價約525.00%。
目標公司在中國註冊成立為有限公司,其股份在中國新三板市場掛牌(股份代號:871369),其主要從事甜酒、豆製品和醬醃菜產品之生產和銷售。
