華聯股份(000882.SZ)擬收購恆天嘉信23.28%份額及安徽華聯1%股權
格隆匯11月22日丨華聯股份(000882.SZ)公佈，為拓展公司主營業務，增強公司行業競爭力，近日公司與北京中商華通科貿有限公司(以下簡稱“中商華通”)簽訂了《恆天嘉信(寧夏)投資中心(有限合夥)財產份額轉讓協議》，公司擬使用2.04億元自有資金收購中商華通持有的恆天嘉信(寧夏)投資中心(有限合夥)(以下簡稱“恆天嘉信”)23.28%的有限合夥份額(對應劣後級合夥份額2.43億元)。公司目前已持有恆天嘉信1億元劣後級有限合夥份額。交易完成後，公司將作為恆天嘉信劣後級有限合夥人，持有32.85%有限合夥份額(對應劣後級合夥份額3.43億元)。目前恆天嘉信持有銀川華聯購物中心有限公司(以下簡稱“銀川華聯”)80.92%股權、安徽華聯購物廣場有限公司(以下簡稱“安徽華聯”)99%股權。
同時，公司與中商華通簽署《股權轉讓協議》，擬使用789.40萬元自有資金收購中商華通持有的安徽華聯購物廣場有限公司(以下簡稱“安徽華聯”)1%股權。
公司自轉型為社區型購物中心專業運營商後，始終以提升物業商業價值為核心，目前已擁有深厚的零售行業經驗以及豐富的優質門店資源。為拓展店鋪規模，提升品牌認知度和影響力，促進規模化經營優勢，公司將根據社區型購物中心的市場定位積極佈局優質商業物業，持續增加優質門店，為未來業績持續增長提供充分保障。本次交易，公司通過收購中商華通持有的恆天嘉信劣後級份額，間接實現對安徽華聯、銀川華聯兩家公司的控制權，符合公司發展戰略及經營需求，能夠提升公司主營業務，增強公司綜合競爭力。公司未來也將收購恆天嘉信普通合夥人份額，以提升對恆天嘉信的控制力。
本次交易完成後，公司將恆天嘉信納入合併報表範圍，公司投資性房地產、在建工程、無形資產將增加約23億元。由於銀川項目仍處於培育期，安徽項目尚未開業，並且銀行借款及優先級形成的財務費用較高，導致恆天嘉信虧損較多。未來公司可通過降低負債規模來減少財務費用。兩處項目的物業條件、房屋結構及規劃定位符合公司開設購物中心的經營需求，並且均位於核心商區，未來發展潛力較大，運營成熟後將有利於提升公司主業經營業績。
