麥克奧迪(300341.SZ)董事會同意豁免實控人、董事陳沛欣及董事楊澤聲自願性股份限售承諾
格隆匯11月22日丨麥克奧迪(300341.SZ)公佈，為促進公司長遠持續發展，公司實際控制人陳沛欣先生和董事長楊澤聲希望引入新的戰略投資者。公司控股股東Motic Holdings Co. Limited(麥克奧迪控股有限公司，“麥迪控股”)、股東Speed Fair Company Limited(香港協勵行有限公司，“香港協勵行”)擬向建投華科投資股份有限公司轉讓其持有的公司部分股份。麥迪控股、香港協勵行分別系公司實際控制人及董事陳沛欣、董事楊澤聲控制的公司。陳沛欣、楊澤聲於公司首次公開發行股票並在創業板上市(“IPO”)時曾作出承諾，在任職期間每年轉讓的股份不超過其直接或間接持有的發行人股份總數的25%。
此次交易超過了陳沛欣和楊澤聲各自承諾的股份限售比例，需提交股東大會審議豁免陳沛欣和楊澤聲關於間接持股的限售承諾。
近日，公司收到實際控制人兼董事陳沛欣、董事楊澤聲分別發來的《關於提請豁免股份限售承諾相關事宜的函》，為了促進各方更好的合作，做大做強上市公司，其分別控制的麥迪控股、香港協勵行有意向通過協議方式轉讓其各自持有的公司部分股份。根據陳沛欣、楊澤聲在公司《首次公開發行股票並在創業板上市招股説明書》中的承諾，在任職期間每年轉讓的股份不超過其直接或間接持有的發行人股份總數的25%。此次交易中，麥迪控股擬轉讓17.61%，香港協勵行擬轉讓10.39%，超過了陳沛欣和楊澤聲各自承諾的限售比例。因此，陳沛欣和楊澤聲特此向公司董事會、股東大會申請豁免上述關於間接持股的限售承諾。
2019年11月21日，公司召開第三屆董事會第二十九次會議審議通過了《關於豁免實際控制人、董事陳沛欣及董事楊澤聲股份限售承諾相關事宜的議案》，同意豁免陳沛欣、楊澤聲於公司首次公開發行股份時所作出的股份限售承諾。
