諾普信(002215.SZ)擬斥4083萬元認繳農泰金融3267萬股
格隆匯11月22日丨諾普信(002215.SZ)公佈，公司之參股35%的深圳農泰金融服務有限公司(“農泰金融”)因業務發展需要，擬增資擴股7000萬元人民幣。公司與關聯方深圳市融信南方投資有限公司(“融信南方”)按其股權比例進行認繳，其中：公司擬以自有資金4083萬元人民幣認繳農泰金融3267萬股；融信南方擬以自有資金2917萬元人民幣認繳農泰金融2333萬股；農泰金融其他兩位股東放棄此次增資認購權。上述增資完成後，公司和融信南方分別持有農泰金融43.38%和30.98%的股權。
融信南方為公司實際控制人盧柏強控制的公司，根據《深圳證券交易所股票上市規則》的有關規定，此次增資事項構成關聯交易，但不構成《上市公司重大資產重組管理辦法》規定的重大資產重組。
農泰金融成立四年多來，在金融服務的基礎上，構建成熟的信息系統平台，同時已經觸達、積累五千多個農資經銷商、零售店、農業合作社和規模種植户，對全國各地優質農產品、特別是高價值特色經濟作物農產品有着全面接觸，下一階段農泰金融擬將藉助豐富的行業資源和自身網絡優勢，致力打造互聯網高端農產品分銷平台，幫助種植端以更合理的價格、更高效率方式把更優質的農產品銷售至城市端客户，助推種植產業鏈價值提升。在未來，也將陸續上線針對優質主糧作物等網上平台，深挖用户零售價值。
公司此次增資農泰金融，一方面，增強農泰金融的資本實力，提升農泰金融的盈利能力，擴展增強其核心競爭力；另一方面，順應公司“農資研產銷、農業綜合服務與特色作物產業鏈”的發展戰略，協同促進公司穩健發展。
同時，此次增資部分資金補充農泰金融的流動資金，探索金融服務轉型升級，發揮現有金融科技體系優勢，服務三農小微經營主體。
此次增資的資金來源為公司自有資金，增資額度不會對上市公司未來財務狀況和經營成果產生重大影響。此次增資遵循了自願、公平合理、協商一致的原則，增資方式公平合理，不損害公司利益。
