鴻利智匯(300219.SZ)與澤博合夥、郭志強等就股權回購糾紛案件達成和解方案
格隆匯11月22日丨鴻利智匯(300219.SZ)公佈，公司於2019年11月22日召開第四屆董事會第十次會議，審議通過了《關於公司與澤博合夥、郭志強等就股權回購糾紛案件達成和解方案的議案》。
因公司控股子公司丹陽誼善車燈設備製造有限公司(“誼善車燈”)股東丹陽市澤博汽車零部件廠(有限合夥)(“澤博合夥”)、郭志強未能完成《關於丹陽誼善車燈設備製造有限公司之股權轉讓協議》項下2018年度的業績承諾，且未按照與公司簽訂的《股權轉讓協議》履行回購義務，2019年7月，公司以澤博合夥、郭志強等為被告向人民法院提起訴訟，請求判令澤博合夥和郭志強向公司支付股權回購款人民幣3.114億元，支付違約金(以人民幣2.96億元為基數，自2019年6月24日起，按照中國人民銀行同期同類貸款利率上浮10%計算至付清之日止)，至2019年7月5日止為人民幣51.38萬元等。2019年7月15日，公司收到法院出具的《受理案件通知書》【編號：(2019)粵01民初778號】，2019年7月25日，公司收到上述案件財產保全的《民事裁定書》。上述案件已於2019年10月22日開庭審理，尚未判決。
經過多次協商，公司於2019年11月22日與澤博合夥、郭志強等就上述股權糾紛簽訂《和解協議》，其中包括，
公司提出了誼善車燈的股權回購要求，乙方丹陽市澤博汽車零部件廠(有限合夥)、郭志強、鄒明愛、郭武俊、郭志明同意回購。考慮到乙方的還款能力和最大程度保障甲方利益的訴求，各方同意乙方以人民幣2.1億元價格(該價格的前提是根據原股權轉讓協議約定公司未付澤博合夥、郭志強的3505.70萬元股權轉讓款及未退澤博合夥、郭志強的5000萬元保證金公司無需再支付和退還給澤博合夥、郭志強)回購公司持有的誼善車燈56%股權，該部分回購股權交易對方內部一致同意登記在郭志強名下。
此前由於以郭志強為主的管理團隊經營管理不善，誼善車燈經營陷入困境，資金流斷裂，難以償還銀行借款及供應商欠款。為使誼善車燈脱離困境，公司與誼善車燈主要供應商初步達成了債轉股的債務重組意向，並擬在與郭志強等簽訂和解協議後引入新的經營管理團隊接管誼善車燈的運營管理工作，力爭儘快恢復誼善車燈的正常生產運營。
此次與澤博合夥、郭志強等被告達成和解協議，是為了更好地保障上市公司及其股東特別是中小股東的利益，有利於儘快恢復誼善車燈的正常生產經營。此次和解後，誼善車燈的法定代表人、董事、監事、高級管理人員由公司委派或者聘請，公司將進一步完善誼善車燈法人治理結構，加強內部協作機制的建立和運行，建立完善的內部控制流程和有效的控制監督機制，積極防範風險。
