泰爾股份(002347.SZ)：泰爾表面擬吸收合併泰爾再製造
格隆匯11月22日丨泰爾股份(002347.SZ)公佈，公司於2019年11月22日召開了第五屆董事會第三次會議，審議通過了《關於子公司之間吸收合併的議案》，擬由公司子公司安徽泰爾表面工程技術有限公司(“泰爾表面”)吸收合併泰爾(安徽)再製造技術服務有限公司(“泰爾再製造”)全部資產、負債、權益(含認繳註冊資本)及業務，吸收合併完成後泰爾表面作為吸收合併方存續經營，泰爾再製造作為被吸收合併方依法予以註銷登記。
安徽泰爾表面工程技術有限公司經營範圍：冶金、礦山、船舶、能源、電子、軍工、航空航天行業機械、裝備、備品配件的製造及再製品(國家限制類及前置許可項目除外);從事增材製造產業項目開發,增材設備及軟件的研發、製造與銷售,增材粉末(不含危險化學品及易製毒化學品)、材料的銷售及技術轉讓,增材專業領域內的技術研發、技術諮詢、技術服務;科技項目代理服務。
泰爾(安徽)再製造技術服務有限公司經營範圍：剪刃、萬向軸、聯軸器、卷取、包裝機器人、輥類、軸承座冶金設備及備品配件再製造產品的研發、生產與銷售;從事冶金設備服務工程總包及再製造技術研發、技術轉讓、技術服務;自營或代理各類商品和技術的進出口業務(國家限定企業經營和禁止進出口的商品和技術除外)。
根據公司戰略規劃，再製造和表面業務的合併，有助於公司產品由核心設備及備件向成套設備轉型、核心製造向再製造技術服務轉型，將公司打造成科技型、服務型的國際化公司。
此次合併有利於增強公司產業整合能力，有利於提高公司為客户服務能力，有利於提升公司技術研發能力，有利於增厚公司盈利能力，實現公司“引領行業技術、推進行業發展”的使命。
泰爾表面和泰爾再製造的財務報表均已納入公司合併報表範圍，此次吸收合併事項不會對公司產生實質性影響，亦不損害公司及全體股東，特別是中小股東的利益。
