惠程科技(002168.SZ)為順利推進Xjet項目的投資及相關3D打印先進技術的開發引進 與中長勝投資達成合作意向
格隆匯11月22日丨惠程科技(002168.SZ)公佈，經公司第六屆董事會第四十次會議、公司2019年第四次臨時股東大會審議批准，公司擬以2500萬美元參與認購以色列Xjet有限公司(“Xjet公司”)D輪融資的優先股。公司後續有意再追加2000萬美元或更多投資，以滿足Xjet公司在中國的產業化需求，包括建設一個製造基地，幫助惠程科技成為Xjet公司3D打印機的部分零部件以及原材料的首選製造商。並考慮與諾貝爾獎獲得者Dan Shechtman共同設立一個全球研發實驗室，該實驗室將專注於利用Xjet公司Nano Partical Jetting(NPJ)技術開發先進的應用。
為了順利推進Xjet項目的投資及相關3D打印先進技術的開發和引進，近日公司與深圳中長勝企業投資有限公司(“中長勝投資”)就以下事項達成合作意向：
(1)雙方擬就Xjet項目投資成立項目公司，其中公司將持有項目公司51%的股權，中長勝投資將持有項目公司49%的股權，所需資金由雙方共同引資開發，項目公司的內部治理等具體事項，根據項目進展情況由雙方另行簽署協議約定；
(2)公司主導Xjet項目在中國製造基地所需的生產線、核心技術人員及其他相關技術資源的引進和落地及運營，中長勝投資主導該項目相關資源的協調；
(3)雙方擬合作開展“深圳國際科技合作產業園項目”，擬通過成立合資公司為產業園項目提供全面支持，包括但不限於產業園工業用地的新增及建設、優質項目引進等事項，擬成立的合資公司將由雙方(含雙方的子公司)共同出資設立，其中公司(含子公司)的持股比例將達到51%，中長勝投資(含其子公司)的持股比例將達到49%，合資公司的內部治理等具體事項，根據項目進展情況由雙方另行簽署協議約定；
(4)公司及子公司負責引進優質的高科技、醫療大健康等符合深圳市坪山區政府有關產業園區建設基本政策要求的落地項目；中長勝投資及其子公司為合資公司的產業園新增工業用地提供顧問服務，並負責相關資源的對接；
(5)雙方共同為合資公司產業園後續開發提供融資服務，具體事宜由雙方協商一致後另行約定。
