乾照光電(300102.SZ)：南燁實業及其一致行動人承諾放棄公司6.33%股份表決權
格隆匯11月22日丨乾照光電(300102.SZ)公佈，近日，公司收到股東長治市南燁實業集團有限公司(“南燁實業”)、王巖莉出具的《關於股東減持及放棄部分表決權的承諾函》(“《承諾函》”)。根據《承諾函》，南燁實業及其一致行動人王巖莉承諾放棄合計持有的上市公司4555.36萬股股份的表決權，佔公司總股本的6.33%。自承諾函出具之日起，南燁實業、王巖莉將根據自身及市場情況減持上市公司股票，並承諾優先減持未放棄表決權部分的股票。
此次權益變動前，南燁實業持有上市公司股份7560.37萬股，佔公司總股本的10.51%；王巖莉持有上市公司股份955.36萬股，佔公司總股本的1.33%，山西黃河股權投資管理有限公司—太行產業併購私募基金(“太行基金”)持有上市公司股份4600萬股，佔公司總股本的6.39%，上述三方為一致行動人，合計持有公司股份1.31億股，佔公司總股本的18.23%。
2019年11月20日，南燁實業、王巖莉簽署了《關於股東減持及放棄部分表決權的承諾函》，南燁實業放棄所持上市公司3600萬股股份(占上市公司總股本5.00%)的表決權；王巖莉放棄所持上市公司955.36萬股股份(占上市公司總股本1.33%)表決權。
此次權益變動後，南燁實業及其一致行動人合計持有上市公司股份1.31億股，其中合計擁有有表決權的股份數量為8560.37萬股，表決權比例從18.23%下降至11.90%。
同日，公司收到太行基金出具的《關於同意一致行動人減持及放棄部分表決權的説明》，太行基金知悉並認可南燁實業與王巖莉的決定。特做出如下説明：
太行基金同意承諾人不可撤銷地永久放棄其合計持有的上市公司6.33%股份以及違反承諾增持的上市公司股票對應的表決權、提名權、提案權等股東權利，且承諾人放棄該部分權利不影響各方簽署的《一致行動協議》中關於有效表決票數量的認定。即南燁實業與王巖莉仍以其持有的8515.73萬股(占上市公司總股本的11.84%)履行《一致行動協議》項下權利義務。
同時，太行基金同意南燁實業與王巖莉根據自身及市場情況減持上市公司股票，並優先減持未放棄表決權、提名權、提案權等股東權利部分的股票。
