陽光100中國(02608.HK)擬11.06億元收購温州三間項目公司剩餘股權
格隆匯11月22日丨陽光100中國(02608.HK)公佈,有關此前公佈公司全資附屬公司陽光壹佰集團訂立若干協議,據此,陽光壹佰集團收購温州中心51%的股權、温州生態城51%的股權及温州中信昊園49%的股權。
於2019年11月22日,陽光壹佰集團與當前持有人、賣方以及項目公司訂立股權轉讓協議。根據股權轉讓協議,作為交割之條件,當前持有人首先將其持有的項目公司剩餘股權轉讓予賣方,當中包括温州中心49%的股權、温州生態城49%的股權及温州中信昊園51%的股權。其後,再由賣方將項目公司剩餘股權轉讓給陽光壹佰集團,總代價為人民幣11.06億元。
據悉,温州中心分別由陽光壹佰集團及中行昊園擁有51%及49%的股權。温州生態城分別由陽光壹佰集團及重慶世和擁有51%及49%的股權。世和恆業直接持有中行昊園及重慶世和100%的股權。温州中信昊園分別由上海昊銘及陽光壹佰集團擁有51%及49%的股權。世和恆業亦直接持有上海昊銘100%的股權。
根據上市規則第14.44條,作為召開公司股東大會的替代方式,已自樂昇控股有限公司(公司控股股東,直接持有1,693,273,906股股份,相當於截至公告日期止公司已發行股本總額約66.11%,當中包括9.18%衍生權益)取得有關股權轉讓協議的股東書面批准。
由於集團已開發管理温州中心項目及温州生態城項目一段時間,收購事項將有利於更高效管理及後續開發。公司認為,温州中心項目及温州生態城項目系公司主力產品喜馬拉雅高端共用式服務式公寓及阿爾勒小鎮。此外,温州中信昊園項目進行一級土地整治的範圍涵蓋阿爾勒項目已開發及周邊土地,獲取温州中信昊園項目有利於提升該範圍整體環境及品質,進而提升阿爾勒項目價值,同時獲取高額的合同收益。
公司認為股權轉讓協議項下的代價合理並認為此次收購將取得較好收益,並有利於集團及其股東的整體利益。此外,收購事項將有利於陽光壹佰集團主導該等項目的管理及營運,亦有利於公司對"陽光100"品牌使用的控制。
