藍黛傳動(002765.SZ)擬斥5000萬元設立全資子公司 推進傳動零部件業務穩健發展
格隆匯11月22日丨藍黛傳動(002765.SZ)公佈，為更好地實施公司動力傳動業務和觸控顯示業務雙主業協同發展戰略，促進公司各業務板塊相關資產、技術、業務等資源的優化整合，實現傳動零部件專業化、規模化經營，公司擬對目前的組織架構進行優化，擬投資設立全資子公司重慶藍黛傳動機械有限公司(暫定名，最終以市場監督管理部門核准登記的名稱為準，“新公司”)。
重慶藍黛傳動機械有限公司經營範圍：齒輪、軸、傳動及驅動部件研發、生產、銷售；機械加工，機械模具生產。在《中華人民共和國進出口企業資格證書》有效期及核定進出口商品目錄內經營本企業自產產品及技術的出口業務和本企業所需的機械設備、零配件、原輔材料及技術的進口業務，但國家限定公司經營或禁止進出口的商品及技術除外。註冊資本：人民幣5000萬元。
公司於2019年05月完成收購深圳市台冠科技有限公司股權的重大資產重組事項，且公司已設立子公司重慶台冠科技有限公司建設“觸控顯示一體化模組生產基地項目”，公司擴展了對觸摸屏及觸控顯示領域、乘用車智能化領域的業務佈局，從而優化和改善了公司現有的業務結構，推動公司主營業務多元化發展。為更好地實施公司動力傳動業務和觸控顯示業務雙主業協同發展戰略，公司擬對目前的組織架構進行優化，擬通過投資設立全資子公司新公司以承繼公司目前的傳動零部件相關業務，實現傳動零部件專業化、規模化經營，促進公司各業務板塊相關資產、技術、業務等資源的優化整合，使公司戰略佈局更加清晰，有利於促進公司雙主營業務的快速發展，符合公司長遠發展戰略。
公司在汽車變速器零部件及變速器總成研發、製造方面具有豐富的經驗和客户資源，此次投資設立全資子公司不存在技術和經營風險，不會對公司財務及經營狀況產生不利影響，不存在損害公司及股東利益的情形，有利於公司推進傳動零部件業務的穩健發展，為公司長遠戰略發展規劃的實施奠定良好基矗新設全資子公司在未來開展業務時，可能將面臨市場經營環境、人才儲備、管控等方面的風險，為此公司將積極拓展傳動市場新領域，開發、培育中高端新客户，組建良好的經營管理團隊和技術服務團隊，加強內部協作機制的建立和運行，積極防範和控制可能存在的風險，以促進公司持續穩健發展。
