基石控股(01592.HK)擬1.2億港元收購裝飾材料及相關裝修工程業務
格隆匯11月21日丨基石控股(01592.HK)公告，於2019年11月21日，公司間接全資附屬Stable Wealthy Holdings Limited為買方與賣方New Chain Limited、目標公司Firmstone Holdings Limited及保證人訂立買賣協議。據此，賣方擬出售目標公司全部股份，總代價為1.2億港元。代價其中(i)1650萬港元以現金及(ii)1.035億港元以發行可換股債券結付。可換股債券0.3港元兑換價較11月21日，公司收市價每股0.275港元有溢價約9.09%。
於完成時，目標公司將成為本公司的間接全資附屬公司，故目標集團的財務業績將合併計入本集團的財務報表。
目標集團的主要從事(i)供應及安裝固定裝置及傢俱、裝飾材料及相關裝修工程的項目營運；及(ii)供應固定裝置及傢俱以及裝飾材料。目標集團作為承建商，在大部分情況下為其客户尋找及採購固定裝置及傢俱以及裝飾材料，並向其分包商分包所有安裝及裝修工程，同時目標集團負責整體項目管理以及監督安裝及裝修工程。
目標集團所供應固定裝置及傢俱主要包括廚櫃、家居傢俱及變形傢俱，而目標集團所供應裝飾材料主要包括雲石、瓷磚、牆紙、地毯、窗簾及布料。於本公佈日期，目標集團為香港及澳門三個固定裝置及傢俱國際品牌(Dada、Molteni&C及Arredo3)擁有者以及香港另一個陶瓷及浴室產品國際品牌(Dongpeng)擁有者的獨家授權經銷商。
本集團主要於香港及澳門從事石材銷售以及雲石產品供應及鋪砌。目標公司為目標集團的控股公司，主要從事(i)供應及安裝固定裝置及傢俱、裝飾材料及相關裝修工程的項目營運以及(ii)供應固定裝置及傢俱及裝飾材料。
誠如本公司截至2018年12月31日止年度的年報所載，董事會擬擴大該等雲石及花崗石供應及鋪砌項目的工作範圍，同時亦繼續於香港及海外市場拓展本集團的石材供應業務。此外，誠如本公司截至2019年6月30日止6個月的中期報告所載，本集團亦計劃於日後發展不同建材供應以及工程及裝修業務。
董事相信，收購事項可擴闊本集團現有業務範圍及收益基礎。此外，董事預期，收購事項將於本集團現有業務締造協同效益，並壯大本公司於業內的客户羣，有助本集團取得額外收入及流入本集團的現金流。董事認為，訂立買賣協議有助踏足增長潛力可觀的供應及安裝固定裝置及傢俱、裝飾材料及相關裝修工程的新業務分部，符合本公司利益。經考慮目標集團業務的未來發展前景及買賣協議的條款(尤其是賣方及保證人所契諾及保證的溢利保證)，董事認為，訂立買賣協議符合本公司及其股東整體利益。
