基石控股(01592.HK)拟1.2亿港元收购装饰材料及相关装修工程业务
格隆汇11月21日丨基石控股(01592.HK)公告，于2019年11月21日，公司间接全资附属Stable Wealthy Holdings Limited为买方与卖方New Chain Limited、目标公司Firmstone Holdings Limited及保证人订立买卖协议。据此，卖方拟出售目标公司全部股份，总代价为1.2亿港元。代价其中(i)1650万港元以现金及(ii)1.035亿港元以发行可换股债券结付。可换股债券0.3港元兑换价较11月21日，公司收市价每股0.275港元有溢价约9.09%。
于完成时，目标公司将成为本公司的间接全资附属公司，故目标集团的财务业绩将合并计入本集团的财务报表。
目标集团的主要从事(i)供应及安装固定装置及家具、装饰材料及相关装修工程的项目营运；及(ii)供应固定装置及家具以及装饰材料。目标集团作为承建商，在大部分情况下为其客户寻找及采购固定装置及家具以及装饰材料，并向其分包商分包所有安装及装修工程，同时目标集团负责整体项目管理以及监督安装及装修工程。
目标集团所供应固定装置及家具主要包括厨柜、家居家具及变形家具，而目标集团所供应装饰材料主要包括云石、瓷砖、墙纸、地毯、窗帘及布料。于本公布日期，目标集团为香港及澳门三个固定装置及家具国际品牌(Dada、Molteni&C及Arredo3)拥有者以及香港另一个陶瓷及浴室产品国际品牌(Dongpeng)拥有者的独家授权经销商。
本集团主要于香港及澳门从事石材销售以及云石产品供应及铺砌。目标公司为目标集团的控股公司，主要从事(i)供应及安装固定装置及家具、装饰材料及相关装修工程的项目营运以及(ii)供应固定装置及家具及装饰材料。
诚如本公司截至2018年12月31日止年度的年报所载，董事会拟扩大该等云石及花岗石供应及铺砌项目的工作范围，同时亦继续于香港及海外市场拓展本集团的石材供应业务。此外，诚如本公司截至2019年6月30日止6个月的中期报告所载，本集团亦计划于日后发展不同建材供应以及工程及装修业务。
董事相信，收购事项可扩阔本集团现有业务范围及收益基础。此外，董事预期，收购事项将于本集团现有业务缔造协同效益，并壮大本公司于业内的客户群，有助本集团取得额外收入及流入本集团的现金流。董事认为，订立买卖协议有助踏足增长潜力可观的供应及安装固定装置及家具、装饰材料及相关装修工程的新业务分部，符合本公司利益。经考虑目标集团业务的未来发展前景及买卖协议的条款(尤其是卖方及保证人所契诺及保证的溢利保证)，董事认为，订立买卖协议符合本公司及其股东整体利益。
