華聞集團(000793.SZ)擬2.3億元向實控人收購環球國廣22.95%的股權
格隆匯11月21日丨華聞集團(000793.SZ)公佈，公司與公司實際控制人國廣環球傳媒控股有限公司(“國廣控股”)及北京環球國廣媒體科技有限公司(“環球國廣”)於2019年11月20日在海南省海口市簽署《關於北京環球國廣媒體科技有限公司股權轉讓協議》，公司以現金方式購買國廣控股持有的環球國廣22.95%的股權(對應註冊資本1147.5萬元)，股權轉讓價格為2.3億元。
環球國廣總部位於中國北京，是中國國家高新技術企業、中國電視購物聯盟理事單位及中國電子商會副會長單位，其全球團隊成員來自23個國家和地區，其主營業務為開發並提供高品質、高性價比的商品，依託媒體創意和媒體內容製作優勢，通過電視購物、網絡購物等方式發佈商品信息和生活諮詢，實現商品向終端消費者的銷售。
根據具有執行證券、期貨相關業務資格的信永中和會計師事務所(特殊普通合夥)(“信永中和”)對環球國廣財務情況出具的編號為XYZH/2019TJA10301的《北京環球國廣媒體科技有限公司2019年1-6月、2018年度、2017年度審計報告》，截至2018年12月31日，環球國廣經審計的合併財務數據如下：資產總額6.86億元，負債總額5.52億元，應收款項總額7728.93萬元，或有事項涉及的總額0.00萬元，歸屬於母公司所有者權益1.13億元；2018年度實現營業收入19.71億元，營業利潤7947.82萬元，歸屬於母公司淨利潤3264.51萬元；經營活動產生的現金流量淨額1.19億元。
截至2019年6月30日，環球國廣經審計的合併財務數據如下：總資產5.84億元；負債總額4.71億元，應收款項總額7253.96萬元，或有事項涉及的總額0.00萬元，歸屬於母公司所有者權益8508.63萬元；2019年1-6月實現營業收入9.61億元，營業利潤4790.81萬元，歸屬於母公司淨利潤2149.60萬元；經營活動產生的現金流量淨額-2155.39萬元。
根據具有執行證券、期貨相關業務資格的北京中天華資產評估有限責任公司(“中天華評估”)出具的編號為中天華資評報字[2019]第1744號的《華聞傳媒投資集團股份有限公司擬收購國廣環球傳媒控股有限公司持有的北京環球國廣媒體科技有限公司22.95%股權涉及的北京環球國廣媒體科技有限公司股東全部權益價值資產評估報告》，於評估基準日2019年6月30日，環球國廣合併口徑總資產賬面值為58,352.33萬元，總負債賬面值約4.71億元，歸屬於母公司淨資產賬面值為8508.63萬元，淨資產賬面值為1.12億元，採用收益法評估後的股東全部權益資本價值(歸屬於母公司淨資產價值)為10.03億元，淨資產評估增值9.18億元，增值率為1078.8%。
自2019年以來，公司一面內部挖潛，一面尋求轉型，希望尋求新的業績增長點，此次由公司實際控制人向公司注入資產，替代傳統媒體在公司的重要地位，成為公司未來主要的利潤增長點之一，獲得資本市場的認可，回報投資者。
