達剛控股(300103.SZ)擬斥550萬元設立控股子公司 打造道路設施智慧運維託管服務業務平台
格隆匯11月21日丨達剛控股(300103.SZ)公佈，公司(“甲方”)為推動公司城市道路運維管理戰略規劃的儘快落地，同時，結合公司的實際情況，經審慎的市場調研分析，公司擬與陝西威楠高科(集團)實業有限責任公司(“威楠高科”或“乙方”)共同出資人民幣1000萬元設立陝西達剛智慧運維科技有限公司(暫定名，最終以工商行政管理部門核定為準，“標的公司”)。其中，公司使用自有資金出資人民幣550萬元，佔標的公司註冊資本的55%；威楠高科以自有資金出資人民幣450萬元，佔標的公司註冊資本的45%。
陝西達剛智慧運維科技有限公司(暫定名，最終以工商行政管理部門核定為準)擬定經營範圍：市政設施、公路設施管理養護；道路檢測評價、施工總承包；專業承包；勞務分包；市政、公路、橋樑工程檢測和實驗；水質檢測；設計、代理、發佈廣告；工程勘測；城市園林綠化；園林綠化設計；項目管理；銷售機械設備、電器設備、建築材料、裝飾材料、五金交電、花卉、苗木、草種、植物肥料、植草纖維、交通標識；道路貨物運輸；機動車停車服務；技術開發、技術諮詢、技術服務、技術推廣；物業管理；出租辦公用房、出租商業用房；設備租賃；勞務服務；計算機系統服務；基礎軟件服務；應用軟件服務；軟件開發；數據處理(數據處理中的銀行卡中心、PUE值在1.5以上的雲計算數據中心除外)。(企業依法自主選擇經營項目，開展經營活動；依法須經批准的項目，經相關部門批准後依批准的內容開展經營活動。)
道路設施智慧運維託管服務模式是對建成後道路設施實施科學管養的一個全新體系，是道路設施養護生產技術模式和新型管理模式的有機結合，是同步提升道路品質和運營效益的有效途徑。
此次公司與威楠高科共同出資設立標的公司是為了打造道路設施智慧運維託管服務業務平台，統一道路管養各方的工作目標，幫助道路管理單位科學合理分配養護經費，重塑道路養護生產模式，實現道路全生命週期管理。
此次投資設立標的公司事項符合公司的整體戰略發展規劃，能進一步拓展公司現有業務模式，發揮整合資源優勢，提升公司綜合競爭實力。此次投資不會對公司當年利潤產生較大影響，但如能按計劃順利實施並實現預期收益，將會對公司以後年度利潤產生積極影響。
