科信技術(300565.SZ)：一致行動協議及補充協議到期 公司將無實控人及無控股股東
格隆匯11月21日丨科信技術(300565.SZ)公佈，公司於近日收到公司控股股東、實際控制人張鋒峯、陳登志、曾憲琦(“三方”)簽署的《關於不再續簽
<一致行動協議>
及補充協議的確認函》(“《確認函》”)。三方達成的一致行動關係將在2019年11月21日到期後自動終止，不再續簽。公司由原三名一致行動人共同控制變更為無實際控制人及無控股股東。
張鋒峯、陳登志、曾憲琦於2010年4月13日簽訂了《一致行動協議》、於2014年3月24日簽訂了《一致行動協議補充協議》(“《一致行動協議》及補充協議”)，同意自協議簽署之日至公司首次公開發行股票並上市屆滿三十六個月，在公司董事會、股東大會決策中進行一致意見的投票，三方為一致行動關係。
截至公告日，張鋒峯、陳登志、曾憲琦直接持有公司36.23%的股份，通過眾恆興間接持有公司3.28%的股份，合計持有公司39.51%的股份。
為了規範公司治理、科學決策，經三方友好協商，張鋒峯女士、陳登志先生、曾憲琦先生於 2019年11月20日簽署了《關於不再續簽
<一致行動協議>
及補充協議的確認函》，主要內容如下：(1)三方簽訂的《一致行動協議》及補充協議將於2019年11月21日到期，到期後不再續簽，三方一致行動關係終止；(2)一致行動關係終止後，三方將繼續履行各自應履行的承諾事項。
截至《確認函》簽署日，三方所持有的公司股份的數量和比例保持不變。
根據三方簽署的《確認函》，《一致行動協議》及補充協議到期後，三方不再續簽，三方之間的一致行動關係終止；但三方各自所持公司股份不變，不會對公司的經營管理、人員獨立、資產完整、財務獨立等方面帶來不利影響，公司仍具有獨立經營能力。自《一致行動協議》及補充協議到期之日起，三方基於一致行動關係而做出的相關承諾也一併解除。
