招商蛇口(001979.SZ):房託上市申請已遞交 擬於近期簽署與房託上市相關協議

格隆匯11月21日丨招商蛇口(001979.SZ)公佈,為籌備招商局商業房託基金房託上市,公司通過控股子公司招商局置地有限公司(股票代碼:00978.HK,“招商局置地”)於2019年6月22日註冊成立全資子公司China Merchants Land Asset Management Co., Limited/招商局置地資管有限公司(“房託管理人”),作為招商局商業房託基金管理人。2019年9月2日,房託管理人向香港證監會遞交了招商局商業房託基金之設立認可申請,並已於2019年11月8日獲得香港證監會原則性批准函。2019年11月13日,房託管理人向香港聯交所正式遞交招商局商業房託基金的上市申請(“房託上市申請”),並擬於近期安排簽署與房託上市相關協議。

房託管理人已於2019年11月15日與DB Trustees (Hong Kong) Limited/德意志信託(香港)有限公司(“受託人”)簽署信託契約,設立招商局商業房託基金。招商局商業房託基金將通過其全資子公司Treasure Supreme International Limited(“Treasure”)受讓公司擬注入招商局商業房託基金的底層資產。自此次權益轉讓完成後直至招商局商業房託基金向公眾發行REIT基金單位前,招商局商業房託基金的所有REIT基金單位將由公司全資子公司Eureka Investment Company Limited/瑞嘉投資實業有限公司(“瑞嘉投資”)持有。招商局商業房託基金向公眾發行REIT基金單位後,公眾基金單位持有人將持有招商局商業房託基金的若干REIT基金單位。

擬注入招商局商業房託基金的底層資產是位於深圳市南山區蛇口區域的四項商業物業,即新時代廣場、科技大廈、科技大廈二期、數碼大廈,及一項商場物業,即蛇口花園城中心(“五項物業資產”)。該五項物業資產現分別由深圳市蛇口新時代置業管理有限公司、深圳市科大置業管理有限公司、深圳市科大二期置業管理有限公司、深圳市數碼大廈置業管理有限公司和深圳市花園城置業管理有限公司(“五家項目公司”)持有。

目前,公司通過瑞嘉投資境外全資子公司Jumbo Pacific HoldingsLimited(“Jumbo”)及Jumbo的境外子公司Frontier Shekou Commercial Holdings Limited(“Frontier”)間接持有五家項目公司100%權益。

次設立房地產投資信託基金並上市是公司對開拓創新性融資渠道以及國際化接軌作出的有益嘗試,招商局商業房託基金於香港聯交所成功上市將有助於增進公司對商業物業的資本運作與管理能力,有利於盤活持有型物業,進一步增強公司城市發展與產業升級綜合服務中資產管理業務的綜合競爭力。
