蒙古能源(00276.HK)就票據償還訂立多項暫緩還款協議
格隆匯11月21日丨蒙古能源(00276.HK)發佈公告，於2019年11月21日，公司與(i)Golden Infinity Co.,Ltd訂立暫緩還款協議，將GI可換股票據項下全部未償還金額的還款時間延期至2020年5月21日，而利率維持不變；及(ii)Chow Tai Fook NomineeLimited訂立暫緩還款協議，將CTF可換股票據項下全部未償還金額的還款時間延期至2020年5月21日，而利率維持不變。
公司目前正與Golden Infinity Co.,Ltd和Chow Tai Fook Nominee Limited進行積極磋商，以認購新的可換股票據以償還GI可換股票據和CTF可換股票據項下全部未償還金額。如果可實現認購擬議的新可換股票據，則GI暫緩還款協議和CTF暫緩還款協議的到期日將會是上述認購完成之日或2020年5月21日。GI可換股票據及CTF可換股票據項下未償還金額兑換成股份的權利均於2019年11月20日完結。
另一方面，本金額為499,878,000港元的可換股票據持有人，拒絕磋商認購新可換股票據以償還ZV可換股票據，亦不同意延長還款時間。於該情況下，公司執行董事兼主席魯連城先生透過由Ruby Pioneer Limited(為魯先生全資擁有公司)，承接ZV可換股票據。據此，其項下未償還金額兑換成股份的權利於2019年11月20日完結。
緊隨該承接，公司與Ruby Pioneer訂立RP暫緩還款協議，據此Ruby Pioneer同意將現有RP票據項下未償還總額的還款時間從2019年11月21日延期五年至2024年11月21日，而現有RP票據的本金的利息將繼續按年利率3%累計。訂立CTF暫緩還款協議、GI暫緩還款協議及RP暫緩還款協議後，公司並無違反償付CTF可換股票據、GI可換股票據及RP票據。
