歐普康視(300595.SZ)擬以股權受讓及增資擴股方式投資靖江歐普睛呈 佔股51%
格隆匯11月21日丨歐普康視(300595.SZ)公佈，公司於2019年8月30日在巨潮資訊網上披露了《關於簽訂投資合作框架協議的公告》，公司擬以增資擴股和股權受讓的方式對靖江歐普睛呈眼健康服務有限公司(“靖江歐普睛呈”、“乙方”、“標的公司”)進行投資。
為更好地拓展公司的區域業務，提升公司的競爭優勢，增強公司的盈利能力，2019年11月21日，公司與靖江歐普睛呈及全部股東陸漢興(丙方1)、侯愛華(“丙方2”)簽署了《歐普康視科技股份有限公司與陸漢興、侯愛華關於靖江歐普睛呈眼健康服務有限公司之投資合作協議》，公司擬以股權受讓和增資擴股方式投資於乙方。投資完成後，甲方持有乙方51%的股權。
此次投資合作方案為：甲方以現金人民幣480萬元受讓丙方2持有的乙方25%股權；與此同時，甲方向乙方增資人民幣1018.78萬元認繳乙方新增註冊資本53.06萬元。此次投資完成後，甲方持有目標公司51%的股權。
靖江歐普睛呈眼健康服務有限公司經營範圍：眼健康管理服務;第三類醫療器械,眼鏡及護理用品銷售;驗光配鏡。(依法須經批准的項目,經相關部門批准後方可開展經營活動)
標的公司“靖江歐普睛呈眼健康服務有限公司”位於江蘇省靖江市，下轄“靖江睛晟眼科診所有限公司”(全資子公司)和“靖江睛晟眼科診所有限公司人民路分公司”(分公司)，以上兩家公司均為具有醫療執業許可資質的眼科診所。
標的公司及其分、子公司的主營業務系承接“靖江市睛晟眼鏡配戴中心”及其分店業務。“靖江市睛晟眼鏡配戴中心”成立於1997年3月，在當地經營時間20餘年，主要從事眼鏡及配件零售、驗光配鏡、眼鏡護理業務，具有較為豐富的配鏡和銷售服務等經驗，建立了較為完善的眼鏡銷售服務網絡，形成了一定的經營規模，業務狀況和盈利能力良好，在當地具有良好的行業口碑、信譽和影響力，是靖江市眼鏡行業的龍頭企業，實際控制人是陸漢興與侯愛華(丙方)。隨着視光產業的發展，丙方對靖江市睛晟眼鏡配戴中心及其分店的經營場所和業務模式不斷進行升級，積極向視光中心與視光診所模式轉型。
丙方向甲方承諾：（1)將其靖江市睛晟眼鏡配戴中心及其分店的業務資源(包括資產、業務、品牌、渠道等)全部轉入標的公司；(2)承諾標的公司2019年度淨利潤不低於285萬元。
此次投資合作有利於拓展公司在靖江地區的業務佈局，提升公司的市場份額，增強公司的盈利能力，符合公司的長遠發展戰略和全體股東的利益。
